`The case at the fact-finding instances
`Civil law notary Maas was called to appear before the lnvestigating Judge on December '16 and
`31, 1982, in terms of section 223b of the Dutch Bankruptcy Act, in relation to the moratorium on
`payments granted to the said corporations. Having initially refused to answer any of the
`questions put to him, relying on attorney-client privilege derived from his office, he finally
`answered just part of the first question.
`Following an explanation made on behalf of the civil law notary of the law of privilege, the
`lnvestigating Judge issued a decision on January 17 , 1983 ordering the witness to answer the
`questions set out in the decision, in as far as not already answered.
`The civil law notary filed an appeal against this decision to the Appellate Court of The Hague.
`ln a ruling of December 23, í983, the Appellate Court annulled the decision by the lnvestigating
`Judge and, in a new decision, agreed that the witness, civil law notary Maas, could invoke
`client-attorney privilege in relation to the questions he had not yet answered and as set out in
`the annulled decision, thus determining that the witness did not have to answer those questions.
`The decision by the lnvestigating Judge and the decision by the Appellate Court are attached to
`this Judgment.
`
`2.
`The case on cassation appeal
`The cassation appellants, hereinafter referred to as the administrators, filed a cassation appeal
`against the decision by the Appellate Court. The cassation application is attached to this ruling
`and constitutes a part thereof.
`The civil law notary asked for the appeal to be dismissed.
`The case was argued by counsel for the parties.
`The opinion from Advocate-General Biegman-Hartogh advocates annulment of the disputed
`decision by the Appellate Court and ratiÍication of the decision issued by the lnvestigating
`Judge.
`
`3.
`Assessment of the grounds for appeal in cassation
`3.1. This case raises the question of the extent of the attorney-client privilege that accrues to the
`civil law notary in terms of the privilege associated with his office or profession.
`The first point to be made in this matter is, and this was correctly not disputed in the cassation
`appeal, that the civil law notary is among a limited group of people who are obliged by the
`nature of their function in society to observe confidentiality in relation to all knowledge entrusted
`to them in that capacity and who also have the associated right to refuse to give testimony, even
`in the presence of a judge, on these matters. The basis for this right to legal privilege is a
`general legal principle operating in the Netherlands that, for this trusted adviser, the public
`interest in uncovering the truth in court is outweighed by the public interest of anyone being able
`to contact him for assistance and advice freely and without fear of their discussions being
`disclosed.
`This principle is acknowledged in civil law, for instance in A1-ticle 1946(2), preamble and at 30, of
`the Dutch Civil Code ('DCC'), in criminal law in Article 218 of the Dutch Code of Criminal
`Procedure and for taxation law in Section 53 of the Generai State Taxes ActlAlgemene wet
`inzake rijksbelastingenl and Section 15(3), preamble and at b of the Administrative Justice in
`Tax Cases ActlWet administratieve rechtspraak belastingzakenl. For a civil law notary, there is
`also a peculiarity to the effect that any deeds he has executed are covered by the limited duty of
`confidentiality in Section 42 ol the Notaries ActlWet op het Notarisambtl, although this plays no
`part in the current case.

`This case turns on a hearing as defined in Section 223b of the Bankruptcy Act in the moratorium
`affecting three corporations belonging to the [A] Group, held in order to gain clarification on
`certain matters including whether the board(s) of one or more of these corporations was/were
`aware, at the start of March 1980, that the corporations in question had undertaken obligations
`to "the bank syndicate" by means of what was termed a positive/negative mortgage certificate.
`The following questions were put to the civil law notary in this regard:
`"L On March 26, 1980, did you attend the premises of [A], with or without your colleague Hoek,
`or did board members of [A] visit you or you and Mr. Hoek at your office on that date?
`2. At whose request did the meeting mentioned in the previous question take place?
`3. ls it correct that you initially had no success, to the extent that Mr. Koopmans andlor Mr. Van
`Berkel refused to sign the power of attorney (Annex 8c in the mortgage folder)?
`4. What were the reasons for Mr. Koopmans and/or Mr. Van Berkel refusing to sign at that
`stage?
`5. Later that day, the said annex shows that the power of attorney was in fact signed, in the
`presence of civil law notary Hoek. Do you know where that happened and what happened in the
`interim to persuade Mr. Van Berkel and Mr. Koopmans to sign what they had initially been
`unwilling to sign?
`
`3.2 Ground 1 of the first ground appeal in cassation argues that the civil law notary cannot rely
`on privilege, as Section 223b of the Bankruptcy Act contains no exception for him from the duty
`to give testimony and Article 1946(2), preamble and at 30 of the DCC does not apply in this
`situation. That part of the appeal in cassation fails, because it fails to appreciate that the right to
`claim privilege is based on the general legal principle outlined in para. 3.1, so that reliance on
`privilege does not require the application of Article 1946 DCC; in addition, no support can be
`found either in the text of Section 223b oÍ the Bankruptcy Act or in the legislative history for the
`assertion that this provision is aimed at rendering the right of privilege inoperative for such a
`hearing of those who are bound by a duty of confidentiality by virtue of their profession or office.
`
`3.3 Nor can ground 2 of the first ground for cassation appeal succeed. According to the findings
`made in para. 3.1, the civil law notary's right of privilege is based on the public interest that
`people may resort to trusted advisers freely and without fear of disclosure of information
`entrusted to that adviser, and is not therefore based on the individual interests of those seeking
`the adviser's support. The interpretation advocated in that ground - that just because the
`hearing before the lnvestigating Judge is held at the request of the administrators in the
`moratorium affecting the relevant corporations, this means that the obligation of confidentiality
`and the right to claim privilege are dispensed with - cannot therefore be accepted. This would
`also be the case even if - as the ground assumes - these corporations had granted a waiver to
`the civil law notary from his obligation to observe confidentiality. The fact is that any other
`interpretation would mean that a finding on the credibility of someone who had gone to the
`confidential adviser in question could be influenced unfavorably by that person's refusalto
`relieve him of his duty of confidentiality, so that the fear of subsequently being required to
`relieve him of that duty of confidentiality might dissuade him from seeking the assistance of the
`trusted adviser or from talking to him freely.
`
`3.4 The second ground for appeal deals with the question of which facts are covered by the civil
`law notary's right of privilege. The main point to be made is that the Appellate Court, according
`to its third finding, evidently assumed that the civil law notary's right to privilege extended only to
`whatever facts were entrusted to him in that capacity, i.e. as a civil law notary, and that
`everything that was disclosed to him in that capacity should also be deemed to have been
`entrusted to him. As far as is relevant to the present case, that assumption is correct; it must be
`noted that the hearing in question here was in any event not designed to answer the question
`whether a legal act had been created between two or more parties, with assistance from the
`civil law notary, or what was the substance of that legal act.
`Ground 1 of this ground for appeal in cassation argues that, despite the foregoing arguments, a

`general distinction has to be drawn, for the question of what should be deemed to have been
`entrusted to the civil law notary, between confidential and less confidential information, and that
`attorney-client privilege applied only to the first category. That argument must be rejected. lt
`fails to appreciate that the aim of privilege is to provide certainty for clients and other interested
`parties that they can talk freely to their civil law notary. Any distinction such as that outlined
`above would amount to an unacceptable erosion of that certainty.
`
`3.5 Ground 2 also fails. The Appellate Court did not apply any incorrect criterion when it held
`that the civil-law civil law notary could only be denied legal privilege "if it is beyond reasonable
`doubt that the requested questioning of the witness would not infringe the confidentiality of his
`office", by which the Appellate Court wanted to indicate that the nature of legal privilege is that
`the questions that are posed do not have to be answered as long as the Court considers there
`to be a reasonable doubt as to whether those answers could be given truthfully without
`disclosing what should remain concealed.
`
`3.6 The finding by the Appellate Court that is disputed at the start of the third ground states that
`the civil law notary's right of privilege is not so absolute that one might yet conceive of very
`exceptional circumstances where the interest in uncovering the truth must take priority over the
`right of privilege, including in relation to the knowledge entrusted to the civil law notary in that
`cápacity. The first complaint of this ground proceeds from a different reading and thus lacks
`any baáis in fact. The second complaint also fails. The Appellate Court was correct in finding
`that any broader range of assessment and more nuanced retrospective balancing of the
`conflicting interests in the actual case - as proposed in the ruling by the lnvestigating Judge -
`would lead to such uncertainty about the extent of the right to privilege that it would be eroded
`to an unacceptable degree. lt is also important in this regard that any such balancing - which
`would probably not be used as evidence because of that balancing - presumes disclosure to
`the judge and this would be incompatible with the nature of legal privilege, as is expressed at
`the end of the findings in para. 3.5.
`
`3.7 Sub-grounds A1 and A3 of the third ground for cassation appeal cannot be successful. The
`finding challenged by these grounds (finding 4) effectively argues that the Appellate Court
`considered there to be scope for doubt as to whether the testimony required from the civil law
`notary related to what had been entrusted to him in that capacity. That finding is not
`incomprehensible and requires no further justification'
`Sub-ground A2 is unsuccessful because, given the findings above in para. 3.3, it is irrelevant
`whether the interest of the corporations involved can still be served while respecting the right of
`privilege relied upon by the civil law notary.
`
`3.8 Finally, sub-ground B in ground for appeal in cassation 3 also fails. The Appellate Court's
`finding that is challenged in this sub-ground, understood in such manner as found in para 3.6
`above, is not incomprehensible and requires no further justification.
`
`4. Decision
`The Supreme Court:
`dismisses the apPeal;
`orders the administrators to pay the expenses of the cassation appeal, assessed up to the date
`of this pronouncement for the civil law notary at / 400.00 of expenses and f 1,700.00 of fees.
`
`This judgment is issued by lustices Mrs. Snijders as presiding judge and justices Royer, Van
`den Blink, Bloembergen and Boekman, and is pronounced in open court by vice-president
`Vroom on March 1, 1985.

`1. Het geding in feitelijke instanties
`Ingevolge art. 223b F. is notaris Maas op 16 en 31 december 1982 desverzocht verschenen voor de Rechter-
`Commissaris in de aan voornoemde vennootschappen verleende surséances van betaling. Na aanvankelijk te hebben
`geweigerd ook maar een enkele van de hem toen voorgelegde vragen te beantwoorden, zich beroepend op
`verschoningsrecht, ontleend aan zijn ambt, heeft hij tenslotte slechts de eerste vraag ten dele beantwoord.
`Nadat het beroep op verschoningsrecht van de zijde van de notaris was toegelicht, heeft de Rechter-Commissaris bij
`beschikking van 17 januari 1983 de getuige gelast de in die beschikking opgenomen vragen, voor zover nog niet
`beantwoord, alsnog te beantwoorden.
`Tegen deze beschikking heeft de notaris hoger beroep ingesteld bij het Gerechtshof te
`'s-Gravenhage.
`Bij beschikking van 23 december 1983 heeft het Hof de beschikking van de Rechter-Commissaris vernietigd en opnieuw
`beschikkende, verstaan dat de getuige, notaris Maas, zich van het afleggen van getuigenis met betrekking tot de door
`hem nog niet beantwoorde vragen, zoals vermeld in de vernietigde beschikking, kan verschonen en derhalve bepaald
`dat de getuige die vragen niet behoeft te beantwoorden.
`De beschikking van de Rechter-Commissaris en de beschikking van het Hof zijn aan deze beschikking gehecht.
`
`2. Het geding in cassatie
`Tegen de beschikking van het Hof hebben verzoekers tot cassatie – hierna te noemen de bewindvoerders – beroep in
`cassatie ingesteld. Het cassatierequest is aan deze beschikking gehecht en maakt daarvan deel uit.
`De notaris heeft verzocht het beroep te verwerpen.
`De zaak is voor partijen bepleit door hun advocaten.
`De conclusie van de Advocaat-Generaal Biegman-Hartogh strekt tot vernietiging van de bestreden beschikking van het
`Hof en tot bekrachtiging van de beschikking van de Rechter-Commissaris.
`
`3. Beoordeling van de middelen
`3.1. De onderhavige zaak stelt de vraag aan de orde welke de reikwijdte is van het aan de notaris op grond van zijn
`ambts- of beroepsgeheim toekomende verschoningsrecht.
`Te dien aanzien moet worden vooropgesteld dat, naar in cassatie terecht onbestreden is gebleven, de notaris behoort
`tot de beperkte groep van personen die uit hoofde van de aard van hun maatschappelijke functie verplicht zijn tot
`geheimhouding van al hetgeen hun in hun hoedanigheid wordt toevertrouwd, en aan wie in verband daarmede tevens
`het recht toekomt zich te dien aanzien ook ten overstaan van de rechter van het afleggen van getuigenis te
`verschonen. De grondslag van dit verschoningsrecht moet worden gezocht in een in Nederland geldend algemeen
`rechtsbeginsel dat meebrengt dat bij zodanige vertrouwenspersonen het maatschappelijk belang dat de waarheid in
`rechte aan het licht komt, moet wijken voor het maatschappelijk belang dat een ieder zich vrijelijk en zonder vrees voor
`openbaarmaking van het besprokene om bijstand en advies tot hen moet kunnen wenden.
`Dit beginsel vindt onder meer erkenning voor het burgerlijk recht in art. 1946 lid 2, aanhef en onder 3⁰, BW, voor het
`strafrecht in art. 218 Sv. en voor het belastingrecht in de artt. 53 van de Algemene wet inzake rijksbelastingen en 15 lid
`3 aanhef en onder b, van de Wet administratieve rechtspraak belastingzaken. Wat de notaris betreft, bestaat nog deze

`bijzonderheid dat met betrekking tot de door hem verleden akten de beperkte geheimhoudingsplicht van art. 42 van de
`Wet op het Notarisambt geldt, die in de onderhavige zaak echter geen rol speelt.
`Het gaat in deze zaak om een verhoor als bedoeld in art. 223b F. in de surséance van drie vennootschappen behorende
`tot het [A]-concern, gehouden teneinde opheldering te krijgen omtrent onder meer de vraag of de directie van (een of
`meer van) deze vennootschappen zich begin maart 1980 bewust was, dat die vennootschap(pen) zich in 1979 door
`middel van een zogenaamde positieve/negatieve hypotheekverklaring had(den) gebonden jegens "het
`bankensyndicaat". In dat kader zijn aan de notaris de volgende vragen voorgelegd:
`"1. Bent u op 26 maart 1980 al dan niet in gezelschap van Uw collega Hoek naar [A] geweest of hebben op die dag
`directieleden van [A] U of de heer Hoek en U opgezocht op uw kantoor?
`2. Op wiens verzoek vond het in de vorige vraag bedoelde onderhoud plaats?
`3. Is het juist dat U aanvankelijk in zoverre geen succes boekte dat de heren Koopmans en/of Van Berkel weigerden de
`volmacht (bijlage 8c in de hypotheekklapper) te tekenen?
`4. Op welke gronden hebben de heren Koopmans en/of Van Berkel in dat stadium geweigerd te tekenen?
`5. Later op die dag is blijkens de genoemde bijlage de volmacht toch getekend, en wel ten overstaan van notaris Hoek.
`Is U bekend waar dat gebeurde en wat er intussen gebeurd was dat de heren Van Berkel en Koopmans tenslotte wel
`tekenden wat zij aanvankelijk niet wilden ondertekenen?"
`
`3.2 Onderdeel 1 van het eerste middel betoogt dat de notaris zich niet kan beroepen op een verschoningsrecht, nu art.
`223b F. te zijnen aanzien geen uitzondering op de getuigplicht bevat en art. 1946 lid 2, aanhef en onder 3⁰, BW te
`dezen niet van toepassing is. Het onderdeel faalt reeds omdat het miskent dat het verschoningsrecht op het onder 3.1
`bedoelde algemene rechtsbeginsel berust, zodat voor een beroep daarop toepasselijkheid van art. 1946 BW niet is
`vereist, en dat noch in de tekst van art. 223b F. noch in de wetsgeschiedenis steun is te vinden voor de stelling dat
`deze bepaling de strekking zou hebben voor wat het daar bedoelde verhoor betreft het verschoningsrecht van degenen
`die uit hoofde van hun beroep of ambt tot geheimhouding verplicht zijn, buiten werking te stellen.
`
`3.3 Onderdeel 2 van het eerste middel kan evenmin slagen. Het verschoningsrecht van de notaris vindt blijkens het
`onder 3.1 overwogene zijn grondslag in het algemene maatschappelijk belang dat men zich vrijelijk en zonder vrees
`voor openbaarmaking van het aan hem toevertrouwde tot hem als vertrouwenspersoon kan wenden, en derhalve niet in
`het individuele belang van degenen die van zijn bijstand gebruik maken. Daarom kan niet worden aanvaard de in het
`onderdeel verdedigde opvatting dat de omstandigheid dat het verhoor van de Rechter-Commissaris plaatsvindt op
`verzoek van de bewindvoerders in de surséance van de belanghebbende vennootschappen, de geheimhoudingsplicht en
`het verschoningsrecht zou opheffen. Dit geldt ook indien – zoals het onderdeel tot uitgangspunt neemt – deze
`vennootschappen de notaris uit zijn geheimhoudingsplicht zouden hebben ontslagen. Een andere opvatting zou er
`immers toe leiden dat het oordeel omtrent de geloofwaardigheid van hen die zich tot de betreffende
`vertrouwenspersoon hebben gewend, ongunstig zou kunnen worden beïnvloed door hun weigering hem uit zijn
`geheimhoudingsplicht te ontslaan, zodat de vrees dat zij daardoor naderhand tot een zodanig ontslag zouden worden
`genoopt hen ervan zou kunnen weerhouden de hulp van die vertrouwenspersoon in te roepen of zich vrijelijk tegenover
`hem uit te spreken.
`
`3.4 Het tweede middel betreft de vraag tot welke feiten het verschoningsrecht van de notaris zich uitstrekt. Voorop
`moet worden gesteld dat het Hof, blijkens zijn derde rechtsoverweging, kennelijk ervan is uitgegaan dat het
`verschoningsrecht van de notaris zich alleen uitstrekt tot datgene waarvan de wetenschap hem als zodanig, d.w.z. als
`notaris, is toevertrouwd en dat alles waarvan de wetenschap hem als zodanig is medegedeeld, ook als hem
`toevertrouwd heeft te gelden. Dit uitgangspunt is, voor zover voor de onderhavige zaak van belang, juist; daarbij
`verdient aantekening dat het onderhavige verhoor in elk geval niet was gericht op beantwoording van de vraag of
`tussen twee of meer partijen met bijstand van de notaris een rechtshandeling was tot stand gekomen en wat de inhoud

`van die rechtshandeling was.
`Onderdeel 1 van het middel betoogt dat bij de vraag wat als aan de notaris toevertrouwd heeft te gelden, - in afwijking
`van het voorgaande – een algemeen onderscheid moet worden gemaakt tussen vertrouwelijke en minder vertrouwelijke
`gegevens en dat zijn verschoningsrecht alleen de eerste categorie zou betreffen. Dit betoog moet worden verworpen.
`Het miskent dat het verschoningsrecht ten doel heeft cliënten en andere belanghebbenden zekerheid te geven dat zij
`vrijelijk met de notaris kunnen spreken. Die zekerheid zou door het maken van zulk een onderscheid op
`onaanvaardbare wijze worden aangetast.
`
`3.5 Ook onderdeel 2 faalt. Het Hof heeft geen onjuist criterium aangelegd door te oordelen dat de notaris het
`verschoningsrecht slechts kan worden ontzegd "wanneer buiten redelijke twijfel staat, dat met de gevraagde getuigenis
`niet wordt getreden in de vertrouwenssfeer van zijn ambt", waarmee het Hof heeft willen aangeven dat de aard van het
`verschoningsrecht meebrengt dat de opgegeven vragen niet behoeven te worden beantwoord, zolang de rechter aan
`redelijke twijfel onderhevig acht of die beantwoording naar waarheid zou kunnen geschieden zonder dat geopenbaard
`wordt wat verborgen dient te blijven.
`
`3.6 De in het begin van onderdeel 3 bestreden rechtsoverweging van het Hof brengt tot uitdrukking dat het
`verschoningsrecht van de notaris in zoverre niet absoluut is, dat zich zeer uitzonderlijke omstandigheden laten denken
`waarin het belang dat de waarheid aan het licht komt – ook ten aanzien van datgene waarvan de wetenschap hem als
`zodanig is toevertrouwd – moet prevaleren boven het verschoningsrecht. De eerste klacht van dit onderdeel gaat van
`een andere lezing uit en mist dus feitelijke grondslag. Ook de tweede klacht faalt. Het Hof heeft terecht geoordeeld dat
`een ruimere beoordelingsmarge en een meer genuanceerde afweging van de met het concrete geval gemoeide
`tegenstrijdige belangen achteraf, zoals in de beschikking van de Rechter-Commissaris werd voorgestaan, tot een
`zodanige onzekerheid omtrent de reikwijdte van het verschoningsrecht zou leiden dat dat daardoor op onaanvaardbare
`wijze zou worden aangetast. Daarbij is mede van belang dat een zodanige afweging een – als gevolg van die afweging
`wellicht niet als bewijsmateriaal te bezigen – openbaarmaking aan de rechter veronderstelt, die met de aard van het
`verschoningsrecht, zoals deze mede in het slot van het onder 3.5 overwogene tot uiting komt, niet te verenigen is.
`
`3.7 De subonderdelen A 1 en A 3 van het derde middel kunnen niet tot cassatie leiden. De door deze subonderdelen
`bestreden rechtsoverweging 4 komt daarop neer dat het Hof ten aanzien van de vraag of het van de notaris verlangde
`getuigenis datgene betreft waarvan de wetenschap hem als zodanig was toevertrouwd, ruimte voor twijfel aanwezig
`oordeelt. Dit oordeel is niet onbegrijpelijk en behoefde geen nadere motivering.
`Subonderdeel A 2 treft geen doel omdat, gezien het hiervoor onder 3.3 overwogene, niet ter zake doet of het belang
`van de betrokken vennootschappen nog met eerbiediging van het door de notaris ingeroepen verschoningsrecht kan
`zijn gediend.
`
`3.8 Onderdeel B van het derde middel tenslotte faalt ook. 's Hofs door dit onderdeel bestreden overweging, verstaan in
`voege als hiervoor onder 3.6 overwogen, is niet onbegrijpelijk en behoeft geen nadere motivering.
`
`4. Beslissing
`De Hoge Raad:
`verwerpt het beroep;
`veroordeelt de bewindvoerders in de kosten van het geding in cassatie, tot aan deze uitspraak aan de zijde van de
`notaris begroot op ƒ 400,-- aan verschotten en ƒ 1.700,-- voor salaris.
