`1. The proceedings in the fact—finding instance
`
`With regard to the course of the proceedings in the fact-finding instance, the Dutch Supreme
`Court refers to the following decisions in the case 126861/HA RK 11-171 of the District Court
`
`

`of Groningen of 11 July 2011 and 28 February 2012.
`
`The decision of the District Court of 28 February 2012 is attached to this decision.
`
`2. The proceedings in cessation
`
`[Appellant 1] and [appellant 2} lodged an appeal in cessation against the decision ofthe
`
`District Court of 28 February 2012. The application for cessation is attached to, and forms
`
`part of, this decision.
`
`H9 Invest, Sunoil, Delta Biovalue and Delta did not file a defence.
`
`The opinion of Advocate-General .i. Wuisman relates to annulment of the contested
`
`judgement.
`
`The counsel of [appellant 1] and [appellant 2] responded to that opinion by a letter dated 19
`December 2012.
`
`3. Established facts in cessation
`
`3.1 The cessation proceedings can be conducted on the basis of the following established
`facts.
`
`From March until eariy August 2010, meetings regarding the takeover of the shares of
`(i)
`Delta Biovalue Nederland BV took place between, on the one he nd,
`
`[person involved 1], who acted on behalf of H9 Invest and Sunoii, or, at any rate, on behalf of
`either ofthem, and, on the other hand, [appellant 1], who according to his statement acted
`with power of attorney from Delta Biovaiue and Delta.
`
`[ii] The shares of Delta Biovalue Nederlend 8V are held by Delta Biovalue, of which Delta
`
`Development&Water BV is the sole director and shareholder. The sole shareholder and
`
`director ofthis latter company is Delta.
`
`(iii) 0n 5 August 2010, consensus was reached regarding the takeover, at any rate according
`to H9 Invest and Sunoil. At some point after 5 August 2010, this was contested by Delta
`Biovalue BV and Delta NV, however, on the ground that [appellant 1} was not authorised and
`
`his discussion partners were aware of this.
`
`3.2 H9 Invest and Sunoil submitted a request for a preliminary examination of witnesses
`
`(which related, among other things, to the examination of [appeilant 1]), which request was
`granted by the District Court. During the preliminary examination, [appellant 1] was asked,
`among other things, what had been said by Delta NV's counsel {appeiiant 2] at a meeting at
`the end of August 2010, at which two other members of the board of Delta NV and Delta
`
`NV's in-house counsel were present, in addition to himself. [Appellant 1] indicated through
`his counsel that he was not obliged to answer that question. After ali, [appellant 2] was
`

`present at that meeting in his capacity as lawyer, which implies that [appellant 1] is entitled
`to the right, derived from [appellant 2]”5 lawyer-client privilege, to request that he be
`excused from the obligation to make a statement as a witness with regard to the question
`posed to him. The District Court dismissed [appellant 1]'s plea of entitlement to a derivative
`right of non-disclosure and ordered that [appellant 1] answer the question as to what
`[appellant 2] had said during the meeting at the end of August 2010.
`
`The District Court held, among other things:
`
`"12. (...) The position of the person who, like [appellant 2], is a company lawyer and in-house
`counsel must now be discussed. In its judgement of 14 September 2010 (UN BN8974,
`hereinafter also: the Akzo judgement), the Court ofJustice of the EurOpean Communities
`held (again) that entitlement to legal privilege requires that (1} the exchange with the lawyer
`relates to the client's rights of defence and (2) that the exchange must emanate from an
`independent lawyer. The Court of Justice held that, with regard to independence, in-house
`lawyers cannot be equated with external lawyers, as the requirement of independence
`implies that no employment relationship exists between the lawyer and their client. in that
`judgement, the Court oflustice repeated (ground 42) the opinion it had expressed earlier,
`namely that the second requirement is based on the lawyer’s role as collaborating in the
`administration ofjustice and as being required to provide, in full independence and in the
`overriding interests of that cause, such legal assistance as the client needs. in the Akzo
`judgement, the Court ofiustice further held (ground 47) that the lawyer, as a result of the
`fact that they have an employment relationship, is not allowed to ignore the commercial
`strategies pursued by their employer, which affects their ability to exercise professional
`independence.
`
`13. The Akzo judgement was given in a (European) competition case, but that context does
`not differ from that of (Dutch) civil proceedings to such an extent that the considerations of
`the Court of Justice are completely irrelevant in the present case. The District Court adopts
`the arguments of the Court of Justice and holds that in-house lawyers are not entitled to the
`lawyer~client privilege as regards information exchanged between them and their client, the
`company that employs them.
`
`14. The judgement above dismisses the District Court from the obligation to carry out a
`virtually impossible task, namely to divide the in-house lawyer's actions into two categories:
`what he has done, heard or said ‘as company lawyer' and what he has done, heard or said
`'as counsel'.".
`
`4. Assessment of the admissibility ofthe appeal
`
`4.1 [Appellant I] and [appellant 2] brought a leapfrog appeal. Section 398 of the Dutch
`Code of Civil Procedure (DCCP), which provides for bringing a leapfrog appeal to the Dutch
`Supreme Court against judgements in a defended action in the first instance, is not declared
`applicable by analogy to application proceedings in Section 426(4) DCCP. However, if all
`parties and stakeholders who are entitled to lodge an appeal have consented to a leapfrog
`appeal to the Dutch Supreme Court after a decision was given in the first instance, there is
`

`no ground to disallow that appeal.
`
`4.2 This case relates to a preliminary examination ofwitnesses, which concerns the
`question whether a witness may refuse to answer a question put to them by invoking a right
`of non—disclosure. If the judge decides that the witness does not have such right, only the
`witness can lodge an appeai against it. The appeal must be iodged against the persons who
`requested the preliminary examination and those designated by them, in accordance with
`Section 187 DCCP, as opposing party in their application for the examination. That is why, in
`that case, all such parties must consent to the leapfrog appeal to the Dutch Supreme Court,
`which requirement was met in Dutch Supreme Court 10 April 2009, UN 869470, NJ
`2010/471. In the present case, {appellant 13, H9 invest, Sunoil, Delta Biovalue and Delta must
`consent to the ieapfrog appeal to the Dutch Supreme Court.
`
`4.3 H9 invest, Sunoil, Delta Biovaiue and Delta did not appear in cessation. As has become
`apparent, only Sunoii consented to a leapfrog appeal to the Dutch Supreme Court.
`Consequently, [appellant 11‘s appeal in cessation is inadmissible.
`
`On that same ground, the same applies to [appellant 2}.
`
`5. Further considerations
`
`5.1 However, the Dutch Supreme Court sees reasons to consider the following on the basis
`of the remedy.
`
`5.2 The remedy is based on the principle that the District Court incorrectly assumed that
`CJEU competition case-law. which denied in-house counsels entitlement to the lawyer-client
`privilege, implies that, also under Dutch law, "in—house lawyers are not entitied to the
`lawyer-client privilege as regards information exchanged between them and their client, the
`company that employs them" (ground 13}. The foliowing is stated first and foremost in this
`respect.
`
`5.3 in the case cited by the District Court, CJEU 14 September 2010, UN BN8974, NJ
`2010/529, the CJEU on the one hand confirmed, stated succinctly, that in-house counsels
`under Union competition law are not entitled to the lawyer—client privilege (because of, in
`short, a lack of independence), but on the other hand ruied that EU competition law and
`national competition law apply side by side and that, therefore, the principle of legal
`certainty under Union iaw does not require that identical criteria as regards the
`confidentiality of the information exchanged between lawyers and clients must be used for
`both types of proceedings. This means that this judgement does not apply outside the
`context of Union competition law.
`
`5.4 it has been accepted practice in the Netherlands for a long time that lawyers can have an
`in-house role (Dutch Supreme Court 10 November 1939, Lawyers’ Magazine
`

`(Advocatenbiad) 1940, p. 92/93, and Dutch Supreme Court 22 February 1957, Dutch Law
`Reports (Ni) 1957/212). The adoption by the Board of Representatives ofthe Netherlands
`Bar of public-law regulations by which in~house lawyers and their employers are bound (the
`In-House Lawyer Regulation {de Verordening op de advocaat in dienstbetrekking) of 17 June
`1977 and the Professional Practice in Employment Regulation (Verordening op de
`praktijkuitoefening in dienstbetrekking) of 27 November 1996) also goes back a long way.
`
`Pursuant to Article 3(3} ofthe latter regulation, the employer of an in-house lawyer must
`sign a professional statute and, by so doing, undertake to respect the lawyer's independent
`practice and promote their undisturbed compliance with the rules governing their
`professional ethics and conduct, including those with regard to their duty of confidentiality
`and lawyer-client privilege.
`
`Art. 4 of this statute reads:
`
`"The employer enables the employee to observe the rules governing the lawyer’s
`professional ethics and conduct. It guarantees that the employee is completely free to
`refrain from protecting the interests of two or more parties, it the interests of these parties
`are in conflict with each other or may plausibly be in conflict with each other in the future.
`The employer enables the employee to [sic] their obligations regarding the confidentiality of
`information and the free and uninterrupted exercise of the |awyer~client privilege with
`regard to cases dealt with by them and the nature and scope of relating interests. The
`employer shall refrain from doing anything that will disclose such information to people
`other than the employee, the client, persons designated by the client or staff of the legal
`practice. If necessary, the employer will adapt the organisation and organisational structure
`of the company to the foregoing and will enable the employee to properly exercise their
`legal practice by providing adequate resources.
`
`5.5 in view of the Dutch practice and the safeguards existing in the Netherlands with regard
`to the legal practice of in-house lawyers, there is no reason to deny a lawyer the lawyer+
`client privilege on account of the mere fact that they have an in-house role.
`
`6. Decision
`
`The Dutch Supreme Court:
`
`declares that the appeal of [appellant 1] and {appellant 2] is inadmissible;
`
`orders [appellant l} and [appellant 2} to pay the costs of the proceedings in cessation, on the
`part of H9 invest and Sunoii estimated up to this judgement at nil.
`

`1. Het geding in feitelijke lnstantie
`
`Voor het verloop van het geding in Feitelijke instantie verwijst de Hoge Raad naar de navolgende
`beschikkingen in de zaak 126861/HA RK 11—171 van de rechtbank Grom‘ngen van 11juli2011 en 28
`februari 2012.
`
`De beschikking van de rechtbank van 28 februari 2012 is aan deze beschikking gehecht.
`
`2. Het geding in cassatie
`
`Tegen de beschikking van de rechtbank van 28 februari 2012 hebben {eiser 1] en [eiser 2] beroep in
`cassatie ingesteld. Het cassatierekest ls aan deze beschikking gehecht en maakt daarvan deel uit.
`
`H9 Invest, Sunoli, Delta Biovalue en Delta hebben geen verweerschrift ingediend.
`
`De conclusie van de Advocaat-Generaal J. Wuisman strekt tot vernietiging van het bestreden vonnis.
`
`De advocaat van [eiser 1] en [eiser 2] heeft bij brief van 19 december 2012 op die conclusle
`gereageerd.
`
`3. Uitgangspunten in cassatie
`
`3.1 In cassatie kan van het volgende warden ultgegaan.
`
`(i) Van maart tot begin augustus 2010 hebben gesprekken plaatsgevonden tussen enerzljds
`
`
`

`[betrokkene 1}, die optrad namens H9 Invest en Sunoil, althans namens een van hen, en anderzijds
`[eiser 1}. die naar zijn opgave optrad als gemachtigde van Delta Biovalue en Delta, over de overname
`van cle aandelen in Delta Biovalue Nederland BV.
`
`(ii) De aandelen in Delta Biovalue Nederland BV worden gehouden door Delta Biovalue, van welke
`vennootschap Delta Development&Water BV de enig bestuurder en aandeelhouder is. De enig
`aandeelhouder en bestuurder van deze laatste vennootschap is Delta.
`
`(iii) Op 5 augustus 2010 is er, althans naar de mening van H9 Invest en Sunoil, wiisovereenstemmmg
`over do overname bereikt. 0p enlg moment na 5 augustus 2010 is dit Iaatste echter van de zijde van
`Delta Biovafue Bv en Delta IW bestreden, op cle grand dat [eiser 1} niet bevoegd was en zijn
`gesprekspartners dat wisten.
`
`3.2 H9 Invest an Sunoll hebben een verzoek tot het houden van een voorlopig getuigenverhoor
`gedaan (onder meer ertoe strekkende oat [eiser 1] als getuige zou warden gehoord) en de rechtbank
`heeft dat verzoek toegewezen. Aan [eiser 1] is tijdens het voorloplg getuigenverhoor onder meer de
`vraag gesteld wat op een bijeenkomst eind augustus 2010, waarbij behalve hijzelf ook nog twee
`directieleden van Delta NV en de in dienst van Delta NV zijnde advocaat [eiser 2} aanwezig waren,
`door Iaatstgenoemde is gezegd. [Eiser 1] heeft toen bij monde van zijn raadsman te kennen gegeven
`dat hij tot beantwoording van die vraag niet gehouden was. {Elser 2] was immers bij die bijeenkomst
`aanwezig in zijn hoedanigheid van advocaat en die omstandlgheid brengt mee dat aan [eiser 1] een
`van het verschoningsrecht van [eiser 2} afgeleid recht toekomt om zich te verschonen van de
`verplichting om als getuige ter zake van de hem gestelde vraag een verklaring at to leggen. De
`rechtbank heeft het beroep van [eiSer 1] op een afgeleid verschoningsrecht verworpen en bepaald
`dat [eiser 1] de vraag wat [eiser 2] tijdens de bijeenkomst eind augustus 2010 heeft gezegd, client to
`beantwoorden.
`
`De rechtbank overwoog daartoe onder meer het volgende:
`
`"12. (...) Daarmee komt aan de orde de positie van de persoon die, zoals [eiser 2], bedrijfsjurist en
`advocaat in loondienst is. Het Hot van Justitie van de Europese Gemeenschappen heeft in het arrest
`van 14 september 2010 (LJN BN8974, hierna ook: het Akzo-arrest) (opnieuw) geoordeeld dat voor
`aanspraak op bescherming van de geheimhouding {legal privilege} ais voorwaarden gelden dat (1) de
`met de advocaat gevoerde communicatie betrekking heeft op de rechten van de verdediging van de
`client on (2) dat het gaat om communicatie met een onafhankelijke advocaat. Advocaten in loondienst
`kunnen wet betreft de onafhankelijkheid niet op één lljn worden gesteid met externe advocaten,
`aangezien het vereiste van onafhankelijkheid veronderstelt dat er geen enkele dienstbetrekking
`tussen de advocaat en zijn client bestaat, zo heeft het Hof geoordeeid. Hot Hot heeft in genoemd
`arrest herhaald (no. 42) zijn reeds eerder uitgesproken oordeel dat de tweede voorwaarde berust op
`de rol van de advocaat als medewerker bij de rechtspleging, die geheel onafhankelijk en in het
`overwegend beiang van de rechtspieging de door zijn cliént benodigde hijstand moet verienen. Het
`Hof heeft in het Akzo—arrest voorts overwogen (no. 4?) dat de omstandigheid dat de advocaat in
`
`loondienst is maakt dat hij niet van de door zijn werkgever gevolgde commerciele strategieen kan
`afwijken. waarmee zijn mogelijkheden om beroepsmatig onafhankelijk te handelen in het geding zijn.
`
`13. Het Akzo-arrest is gegeven in een (Europese) mededingingszaak, maar die context wijkt niet
`zozeer af van die van een (Nederlandse) civiele procedure, dat de overwegingen van het Hof thans
`niet alleszins relevant zijn. Met overnemlng van de argumentatie van het Hof van Justitie oordeelt de
`rechtbank dat aan een advocaat in loondienst vaor wat betreft de communicatie met zijn cliént, het
`bedrijf waar hij werkt, niet het privilege van het verschoningsrecht toekomt.
`
`14. Het vorenstaande oordeel maakt dat de rechtbank ontslagen is van de verplichting een vrijwel
`onmogelijke opgave uit te voeren, namelljk om wat betrefl: de gedragingen van de advocaat in
`loondienst een tweedeling te maken tussen hetgeen hi3" 'als bedrijfsjurist' en hetgeen hij 'als
`advocaat' ondernomen, gehoord en gezegd heef .".

`4. Beoordeling van de ontvankelijkheid van het beroep

`4.1 [Eiser 1] en [eiser 2] hebben sprongcassatie ingesteld. Art. 398 Rv, dat sprongcassatieberoep
`mogelijk maakt tegen vonnissen die in eerste ressort op tegenspraak zijn gewezen, is in art. 426 lid 4
`Rv niet van overeenkomstige toepasslng verklaard op de verzoekschriftprocedure. Ingeval echter alle
`partijen en belanghebbenden aan wie het recht van hoger beroep toekomt, hebben ingestemd met
`een sprongcassatleberoep nadat een beschikking in eerste aanleg is gegeven, is er geen grand om
`dat beroep niet toe te staan.

`4.2 Deze zaak betreft een voorlopig getuigenverhoor, waarin aan cle orde is of een getuige gerechtigd
`is om met een beroep op een verschoningsrecht een hem gestelde vraag niet te beantwoorden.
`Indlen de rechter besiist dat de getuige dat recht mist, kan aileen de getuige daartegen beroep
`insteilen. Hij dient dat beroep in te steilen tagen de verzoekers van het voorlopig getuigenverhoor en
`degenen die door hen overeenkomstig art. 187 Rv in hun verzoekschrift tot het houden van dat
`verhoor ais wederpartij zijn aangewezen. Daarom client in dat geval door ai die partijen met net
`sprongcassatieberoep te worden ingestemd, aan weike eis ward voldaan in HR 10 april 2009, LJN
`869470, N] 20101471. In de onderhavige zaak diant derhalve met het sprongcassatieberoep te zijn
`ingestemd door [eiser 1], H9 Invest, Sunoil, Delta Biovalue en Delta.
`
`4.3 H9 Invest, Sunoil, Delta Biovalue en Delta zijn in cassatie niet verschenen. Voor zover blijkt, heeft
`alleen Sunoil ingestemd met een sprongcassatieberoep. [Eiser l] is daarom niet—ontvankelijk in zijn
`cassatieberoep.
`
`Voor [eiser 2} geldt reeds op deze grond hetzeifde.
`
`5. Verdere overwegingen
`
`5.1 De Hoge Read ziet evenwel redenen naar aanleiding van het middel het volgende te overwegen.
`
`5.2 Het middel neemt tot uitgangspunt dat de rechtbank ten onrechte heeft aangenomen dat
`mededingingsrechtelijke jurisprudentie van het HvJEU, waarbij een advocaat in ioondienst een
`verschoningsrecht werd ontzegd, meebrengt dat ook naar Nederlands recht "aan een advocaat in
`ioondienst voor wat betreft de communicatie met zijn client, net bedrijf waar hij werkt, niet hat
`privilege van het verschoningsrecht toekomt" (rov. 13). Dienaangaande wordt het volgende
`vooropgesteld.

`5.3 In de door de rechtbank aangehaalde zaak HvJEU 14 september 2010, LJN BN8974, NJ 2010f629
`heeft her HvJEU enerzijds bevestlgd, kort gezegd, dat wat betreft het Unierechtelijke
`mededingingsrecht een advocaat in dienstbetrekking geen verschoningsrecht toekomt (vanwege,
`samengevat, een gebrek aan onafhankelijkheid), doch anderzijds uitgemaakt dat het
`mededingingsrecht van de EU en het nationale mededingingsrecht naast elkaar van toepassing zijn en
`dat het Unierechtelijke rechtszekerheldsbeginsel dus niet ertoe verpiicht voar beide types procedures
`identieke criteria te hanteren wat betreft de vertrouweiijkheid van communicatie tussen advocaten en
`cliénten. Deze uitspraak geldt dus niet buiten he: Unierechtelijke mededingingsrecht.
`
`5.4 In Nederiand is reeds geruime tijd aanvaarci dat een advocaat in dienstbetrekking werkzaam kan
`zijn {HR 10 november 1939, Advocatenblad 1940, blz. 92/93, an HR 22 februari 1957, NJ 19571212}.
`Eveneens geruime tijd geleden heeft het College van Afgevaardigden van de Nederlandse 0rde van
`Advocaten publieicrechtelijke regelingen vastgesteld waaraan de advocaat in dienstbetrekking en zijn
`werkgever zijn gebonden (de Verordening op de advocaat in dienstbetrekking van 17 juni 1977 en de
`Verordening op de praktijkuitoefening in dienstbetrekking van 27 november 1996).
`
`Krachtens art. 3 lid 3 van de laatstgenoemde Verordening is de werkgever van een advocaat in

`Joandienst verplicht een professioneei statuut te ondertekenen en z'rch daarmee te verbinden om een
`
`onafhankelijke praktijkuitoefening te eerbiedigen en de ongestoorde naleving van de beroeps— en
`gedragsregeis van de advocaat te bevorderen, inclusief die met betrekking tot zijn
`geheimhoudingsplicht an verschoningsrecht.
`
`Art. 4 van dit statuut iuidt:
`
`"De werkgever stelt de werknemer in staat de voor de advocaat geldende beroeps— en gedragsregels
`na te leven. Hij staat er voor in dat de werknemer volledig vrij is zich niet met de behartiging van de
`belangen van twee of meer partljen te belasten Endien de belangen van die partijen tegenstrijdig zijn
`of een daarop uitlopende ontwikkeling aannemelijk is. De werkgever stelt de werknemer In staat zijn
`verpllchtingen met betrekking tot de geheimhouding van gegevens en de vrije en onbelemmerde
`uitoefening van het verschoningsrecht ter zake van de door hem behandelde zaken en de aard en
`
`omvang van daarmee samenhangende belangen. De werkgever onthuudt zich van al hetgeen dat
`ertoe strekt dat anderen dan de werknemer, de client, door de ciiént aangewezen personen of het In
`de advocatenpraktijk werkzame personeel van die gegevens kennis kunnen nemen. De werkgever
`past 20 nod'rg de organisatie en de inrichting van het bedrijf aan het bovenstaande aan en stelt de
`
`werknemer in staat door het verschaffen van toereikende hulomiddeien zijn advocatenpraktijk naar
`behoren uft te oefanen.“

`5.5 Gezien de Nederlandse praktijk en de waarborgen die aldus in Nederland omtrent de wijze van
`praktijkuitoefening van advocaten in dienstbetrekkfing bestaan, Js geen grand om aan een advocaat
`net verschoningsrecht te ontzeggen op grond van het enkele feit dat hij in dienstbetrekking werkzaam
`is.
`
`6. Beslissing
`
`De Hoge Raad:
`
`verklaart [eiser 1] en [eiser 2} niet—ontvankelijk in hun bereap;
`
`veroordeelt [eiser 1] en [eiser 2] in de kosten van het geding in cassatie, tot op deze uEtSpraak aan
`de zijde van H9 Invest en Sunoil begroot op nihil.
`
