`The course of the proceedings is evidenced by:

`After the closing arguments, Acer petitioned the Court to place the main action on
`the docket prior to the judgment in the incidental proceedings. The Court denied that petition
`in consideration of the points of view taken by the parties by letter.
`
`1.4.
`After the closing arguments, moreover, Acer notified the Court by letter dated 7
`April 2008 that the parties had agreed to postpose the handling of the costs of the incidental
`proceedings until their handling in the main action.
`
`2.
`
`The dispute
`
`2.1.
`Acer demands that the Court order SISVEL to grant inspection by means of
`submission of copies of a licensing agreement relating to the patents EP 0 402 973, EP 0 660
`540 and EP 0 599 824 (hereinafter the patents) that SISVEL concluded with Microsoft Corp.
`(hereinafter Microsoft), as well as of licensing agreements or non-assert agreements relating
`to the patents that SISVEL concluded with other manufacturers and suppliers of electronic
`devices or software (including the manufacturers and suppliers that are named on the list on
`the website sisvel.com/list.asp).
`
`2.2.
`SISVEL defends itself. The positions of the parties are discussed in more detail
`below insofar as they are relevant.
`
`3.
`
`Evaluation
`
`the requirements of Article 843a of the Dutch Code of Civil Procedure (Rv)
`
`3.1.
`Acer bases its claim on Article 843a of the Dutch Code of Civil Procedure
`(hereinafter Rv). Based on this article, Acer can under certain conditions demand a copy of
`documents relating to a legal relationship in which it is a party if it has a legitimate interest in
`doing so.
`
`3.2.
`Acer has in theory correctly stated that substantiation of its defense against
`SISVEL’s claims in the main action, as well as substantiation of its claim in the counterclaim
`proceedings is a legitimate interest within the meaning of Article 843a Rv. In addition, it is
`correct that an obligation arising from tort also falls under the term “legal relationship” stated
`in the provision. This last item is adequately apparent from the parliamentary treatment of
`the draft legislation where the provision was expanded (Kamerstukken II 1999-2000, No. 5,
`p. 78-79) and, with respect to violations of intellectual property rights, from Article 1019a
`section 1 Rv.
`
`3.3.
`The foregoing leaves the fact undisturbed that whoever appeals to Article 843a Rv
`must adequately substantiate the position that the matter involves a tort. This does not mean
`that the claimant must provide complete proof of the alleged tort; otherwise, the appeal to
`Article 843a – that precisely can be used to obtain supplemental evidence – would be
`meaningless. However, it also does not mean that it is sufficient to merely assert that a tort
`has occurred. Otherwise, based on an arbitrary accusation of tortious action, someone could
`go fishing for possible substantiation of the accusation in the administration of another. The
`legislature expressly wished to prevent such “fishing expeditions" (Kamerstukken II 1999-
`2000, 26 855 No. 3, p. 188 and Kamerstukken II 2005- 2006, 30 392, No. 3. p. 20). It is thus
`necessary for the claimant to adequately substantiate his allegation, underpinned with
`reasonably available evidence, by providing adequately specific facts and circumstances for
`

`a reasonable suspicion of tortious action. Acer did not satisfy this requirement, as will be
`explained hereinafter for each partial claim.
`
`the licensing agreement with Microsoft
`
`3.4.
`Acer bases the claim to inspection of the licensing agreement with Microsoft on the
`allegation that SISVEL unlawfully acted vis-à-vis Acer by requesting compensation for the
`use of MP3 patents in software from Microsoft (including the patents to which SISVEL
`appeals in the main action) for which SISVEL has already granted a license to Microsoft.
`Against this, SISVEL argued – without being disputed as such – that both it and Microsoft
`had notified Acer that SISVEL would not take action against specific use of the patents in
`specific versions of software from Microsoft, whereby it was specifically indicated which
`use was royalty-free and which use was not. Moreover, it has been determined that, in
`accordance with this, SISVEL requested that customs cancel the seizure of products by Acer
`insofar as that seizure related to products on which only the royalty-free software from
`Microsoft was installed. In light of this – without further explanation, which is lacking – it
`cannot be understood that SISVEL’s actions vis-à-vis Acer are unlawful.
`
`3.5.
`Insofar as Acer intended to argue that the communication by SISVEL about the
`Microsoft products for which no compensation is owed is inconsistent with the license that
`SISVEL granted to Microsoft, that argument must be rejected as insufficiently substantiated.
`It is established as not contested that the communication by SISVEL corresponds with the
`communication that Microsoft sent to Acer on this matter. Acer has not adduced anything
`indicating that these identical communications about the agreement by both parties to the
`relevant agreement are incorrect.
`
`the other (licensing) agreements
`
`3.6.
`Acer bases the claim to inspection of the other (licensing) agreements that SISVEL
`has concluded with third parties on the argument that SISVEL refuses to grant Acer a license
`at the same conditions as other licensees. This refusal, according to Acer, would be in
`conflict with the obligation imposed on SISVEL – as a party involved in establishing the
`MP3 standard – to grant a license using RAND conditions (that is to say, conditions that are
`“Reasonable And Non-Discriminatory” and would also include a violation of the prohibition
`of abuse of a dominant position under competition law.
`
`3.7.
`In order to substantiate the alleged discrimination, Acer pointed out that SISVEL
`has exclusively offered Acer a license for all patents in its portfolio and with regard to all
`Acer products, and that SISVEL refuses to grant a license that provides only for the use of
`patents that are essential for the MP3 standard in PDAs according to SISVEL. Conversely,
`according to Acer, other licensees would receive licenses in which a differentiation is made
`between various products.
`

`The fact that SISVEL refused to grant a license only for Acer PDAs is not in
`dispute. However, SISVEL alleges that Acer also needs a license for its other products and
`that Acer refuses to purchase a license for these products. Acer did not argue that it also
`would want to purchase a license for these other products or that it would be willing to do so.
`Therefore, there can be no discussion of discrimination with respect to the license for the
`products. Acer also did not argue, or at least argued with insufficient substantiation, that the
`conditions of the license that it does want to purchase, that is, the license for PDAs (or –
`insofar as relevant – the amount of the compensation that SISVEL demanded for use of the
`relevant patents in Acer PDAs in the past), deviated from the agreements that SISVEL
`concluded with third parties for such use. Finally, Acer did not argue that SISVEL permitted
`third parties offering a range of products in which, according to SISVEL, infringing software
`is installed, to exclusively purchase a license for specific products from the range. In that
`respect as well, Acer has thus inadequately argued for discrimination, and thus to be able to
`assume the legal relationship required for the application of Article 843a Rv.
`
`3.9.
`Insofar as Acer meant to argue that SISVEL’s requirement of purchasing a license
`for all standards and all products from Acer is not reasonable within the meaning of the
`RAND requirements, that argument – be it otherwise as it may – can be bypassed in these
`incidental proceedings. As Acer’s counsel also expressly conceded at closing arguments, no
`inspection of the agreements that SISVEL concluded with third parties is necessary in order
`to evaluate the reasonableness of the license offered by SISVEL.

`
`3.10.
`Based on the foregoing, it must be concluded that the claim in the incidental
`proceedings must be denied.
`
`3.11.
`SISVEL correctly stated that there is no reason in this case for an extra record in the
`main action for submission of documents by SISVEL. Differently than the claimant in the
`incidental proceedings in the case of Philips/Duplico (Court of The Hague, 20 February
`2008, b9 5659, Acer did, after all, file a statement prior to the response and claim in the
`counterclaim proceedings. It is therefore now SISVEL’s task to contradict the relevant
`arguments by Acer with sufficient substantiation in its statement of reply and statement of
`defense in the counterclaim proceedings, where the Court will refer the case to the docket for
`the taking thereof.
`
`3.12.
`The Court, taking into account what the parties have agreed in this matter (see
`above, ratio decidendi 1.3), will defer the decision on the costs of the incidental proceedings
`until a decision is made in the main action.

`Acer heeft na het pleidooi de rechtbank verzocht de hoofdzaak op de rol te plaatsen

`voorafgaand aan het vonnis in het incident. Dat verzoek heeft de rechtbank, gelet op de
`daarover door partijen per brief ingenomen standpunten, afgewezen.
`
`Voorts heeft Acer de rechtbank na het pleidooi bij brief van 7 april 2008 gemeld
`1.4.
`dat partijen zijn overeengekomen de behandeling van de kosten van het incident uit te
`stellen tot de behandeling in de hoofdzaak.
`
`2.
`
`Het geschil
`
`Acer vordert dat de rechtbank SISVEL beveelt inzage door middel van afgifte van
`2.1.
`kopieën te verlenen in een licentieovereenkomst met betrekking tot de octrooien EP 0 402
`973, EP 0 660 540 en EP 0 599 824 (hierna: de octrooien) die zij met Microsoft Corp.
`(hierna: Microsoft) heeft gesloten, alsmede in licentieovereenkomsten c.q. non assert
`overeenkomsten met betrekking tot de octrooien die zij met andere fabrikanten en
`leveranciers van elektronische apparaten c.q. software (waaronder de fabrikanten en
`leveranciers die genoemd staan op de lijst op de internetpagina sisvel.com/list.asp) heeft
`gesloten.
`
`SISVEL voert verweer. Op de stellingen van partijen wordt hierna, voor zover van
`2.2.
`belang, nader ingegaan.
`
`3.
`
`De beoordeling
`
`de eisen van artikel 843a Rv
`
`Acer baseert haar vordering op artikel 843a van het Wetboek van Burgerlijke
`3.1.
`Rechtsvordering (hierna: Rv). Op grond van dat artikel kan Acer, indien zij daarbij
`rechtmatig belang heeft, onder bepaalde voorwaarden een afschrift vorderen van stukken
`aangaande een rechtsbetrekking waarin zij partij is.
`
`Op zich heeft Acer terecht aangevoerd dat staving van haar verweer tegen de
`3.2.
`vorderingen van SISVEL in de hoofdzaak, alsmede staving van haar eis in reconventie een
`rechtmatig belang is in de zin van artikel 843a Rv. Daarnaast is juist dat onder het in die
`bepaling genoemde begrip “rechtsbetrekking” ook een verbintenis uit onrechtmatige daad
`valt. Dat laatste blijkt genoegzaam uit de parlementaire behandeling van het wetsvoorstel
`waarbij de bepaling is verruimd (Kamerstukken II 1999-2000, nr. 5, p. 78-79) en, voor wat
`betreft inbreuken op intellectuele eigendomsrechten, uit artikel 1019a lid 1 Rv.
`
`Het voorgaande laat onverlet dat degene die een beroep op artikel 843a Rv doet, de
`3.3.
`stelling dat er sprake is van een onrechtmatige daad voldoende moet substantiëren. Dit
`betekent niet dat de eiser volkomen bewijs moet leveren van de gestelde onrechtmatige
`daad, anders zou het beroep op artikel 843a Rv – dat nu juist kan worden gebruikt ter
`verkrijging van aanvullende bewijsmiddelen – zinloos zijn. Het betekent echter ook niet dat
`kan worden volstaan met de enkele stelling dat onrechtmatig is gehandeld. Anders zou
`iemand op basis van een willekeurige beschuldiging van onrechtmatig handelen in de
`administratie van een ander kunnen gaan vissen naar een mogelijke onderbouwing van die
`beschuldiging. Dergelijke “fishing expeditions” heeft de wetgever uitdrukkelijk willen
`voorkomen (Kamerstukken II 1999-2000, 26 855 nr. 3, p. 188 en Kamerstukken II 2005-

`2006, 30 392, nr. 3. p. 20). Het komt er dus op aan dat eiser zijn stelling voldoende
`substantieert door, onderbouwd met redelijkerwijs beschikbaar bewijsmateriaal, voldoende
`concrete feiten en omstandigheden aan te dragen voor een redelijk vermoeden van
`onrechtmatig handelen. Zoals hierna per deelvordering zal worden toegelicht, heeft Acer
`niet aan die eis voldaan.
`
`de licentieovereenkomst met Microsoft
`
`De vordering tot inzage in de licentieovereenkomst met Microsoft baseert Acer op
`3.4.
`de stelling dat SISVEL onrechtmatig jegens haar handelt door een vergoeding te vragen
`voor het gebruik van MP3 octrooien in software van Microsoft (waaronder de octrooien
`waarop SISVEL zich in de hoofdzaak beroept) waarvoor SISVEL reeds een licentie aan
`Microsoft heeft verleend. Hier heeft SISVEL – als zodanig onweersproken – tegenin
`gebracht dat zowel zij als Microsoft Acer heeft meegedeeld dat SISVEL niet zal optreden
`tegen bepaald gebruik van de octrooien in bepaalde versies van software van Microsoft,
`waarbij concreet is aangegeven welk gebruik rechtenvrij is en welk gebruik niet. Bovendien
`staat vast dat SISVEL in overeenstemming hiermee de douane heeft verzocht het beslag op
`producten van Acer op te heffen voorzover dat beslag betrekking had op producten waarop
`uitsluitend de rechtenvrije software van Microsoft was geïnstalleerd. In het licht daarvan
`valt – zonder nadere toelichting, die ontbreekt – niet in te zien dat het optreden van SISVEL
`jegens Acer onrechtmatig is.
`
`Voor zover Acer heeft bedoeld te betogen dat de mededeling van SISVEL over de
`3.5.
`producten van Microsoft waarvoor geen vergoeding is verschuldigd, niet strookt met de
`licentie die SISVEL aan Microsoft heeft gegeven, moet dat betoog als onvoldoende
`onderbouwd worden verworpen. Als onweersproken staat vast dat de mededeling van
`SISVEL overeenkomt met de mededeling die Microsoft daarover aan Acer heeft gedaan.
`Acer heeft niets naar voren gebracht dat erop wijst dat deze gelijkluidende mededelingen
`over de overeenkomst door beide partijen bij de betreffende overeenkomst onjuist zijn.
`
`de overige (licentie)overeenkomsten
`
`De vordering tot inzage in de overige (licentie)overeenkomsten die SISVEL met
`3.6.
`derden heeft gesloten baseert Acer op de stelling dat SISVEL haar weigert een licentie te
`verlenen op dezelfde voorwaarden als overige licentienemers. Die weigering zou, aldus
`Acer, in strijd zijn met de op SISVEL – als betrokkene bij het opzetten van de MP3
`standaard – rustende verplichting tot het verlenen van een licentie op RAND-voorwaarden
`(dat wil zeggen voorwaarden die “Reasonable And Non Discriminatory” zijn) en zou tevens
`een schending van het mededingingsrechtelijke verbod op misbruik van een machtspositie
`inhouden.
`
`Ter onderbouwing van de gestelde discriminatie heeft Acer erop gewezen dat
`3.7.
`SISVEL haar uitsluitend een licentie aanbiedt voor alle octrooien in haar portefeuille en met
`betrekking tot alle producten van Acer en dat SISVEL weigert een licentie te verstrekken
`die alleen ziet op het gebruik van octrooien die volgens SISVEL essentieel zijn voor de
`MP3 standaard in PDA’s. Daarentegen zouden andere licentienemers volgens Acer licenties
`krijgen waarin een onderscheid wordt gemaakt tussen verschillende producten.
`

`Dat SISVEL heeft geweigerd een licentie te verstrekken voor alleen PDA’s van
`3.8.
`Acer is niet in geschil. SISVEL voert echter aan dat Acer ook een licentie nodig heeft voor
`haar andere producten en dat Acer weigert een licentie voor die producten af te nemen. Acer
`heeft niet gesteld dat zij ook voor die andere producten een licentie zou willen afnemen of
`dat zij daartoe bereid zou zijn. Derhalve kan ten aanzien van de licentie voor die producten
`geen sprake zijn van discriminatie. Acer heeft ook niet, althans onvoldoende onderbouwd
`gesteld dat de voorwaarden van de licentie die zij wel wil afnemen, namelijk de licentie
`voor PDA’s (of – voor zover relevant – de hoogte van de vergoeding die SISVEL eist voor
`gebruik van de betreffende octrooien in Acer PDA’s in het verleden), afwijken van de
`overeenkomsten die SISVEL daarover met derden is aangegaan. Ten slotte heeft Acer niet
`gesteld dat SISVEL derden die een reeks van producten aanbieden waarin volgens SISVEL
`inbreukmakende software is geïnstalleerd, heeft toegestaan uitsluitend een licentie aan te
`gaan voor bepaalde producten uit die reeks. Ook in dat opzicht heeft Acer dus onvoldoende
`gesteld om discriminatie, en daarmee de voor de toepassing van artikel 843a Rv vereiste
`rechtsbetrekking, te kunnen aannemen.
`
`Voor zover Acer heeft bedoeld te stellen dat de eis van SISVEL om een licentie af
`3.9.
`te sluiten voor alle standaarden en alle producten van Acer niet redelijk is in de zin van de
`RAND-vereisten, kan dat betoog – wat daar verder ook van zij – in dit incident worden
`gepasseerd. Zoals de raadsman van Acer bij pleidooi desgevraagd ook uitdrukkelijk heeft
`toegegeven, is voor de beoordeling van de redelijkheid van de door SISVEL geboden
`licentie geen inzage nodig in de overeenkomsten die SISVEL met derden heeft gesloten.
`
`conclusie
`
`3.10. Op grond van het voorgaande moet worden geconcludeerd dat de vordering in het
`incident moet worden afgewezen.
`
`SISVEL heeft terecht aangevoerd dat in deze zaak geen reden is voor een extra
`3.11.
`akte in de hoofdzaak voor overlegging van stukken door SISVEL. Anders dan de eiser in het
`incident in de zaak Philips/Duplico (Rb ’s-Gravenhage 20 februari 2008, b9 5659) heeft
`Acer immers al voor antwoord en eis in reconventie geconcludeerd. Het is derhalve thans
`aan SISVEL om de relevante stellingen van Acer voldoende onderbouwd te weerspreken in
`haar conclusie van repliek en conclusie van antwoord in reconventie, voor het nemen
