`April 24, 2020. In support of its motion, Frontier states the following:

`Frontier filed voluntary petitions for relief under Chapter 11 of Title 11
`
`of the United States Code, 11 U.S.C. §§ 101 1532, in the United States Bankruptcy
`
`Court for the Southern
`
`Bankruptcy Court
`
` on April 14,
`
`2020.
`
` Chapter 11 cases are pending before the Honorable Robert D.
`
`Drain, United States Bankruptcy Judge, and joint administration has been requested
`
`under the lead case In re Frontier Communications Corporation, et al., Case No. 20-
`
`22476 (RDD).
`
`2.
`
`On May 8, 2020, Frontier filed in the Bankruptcy Court a Motion for
`
`Order Modifying the Automatic Stay to Permit the Debtors to Participate in Certain
`
`Pending Multi-District Litigation. (Docket No. 246).
`
`3.
`
`On May 26, 2020, the Bankruptcy Court entered an Order Modifying
`
`the Automatic Stay to Permit the Debtors to Participate in Certain Pending Multi-
`
`District Litigation. (Docket No. 371, attached as Exhibit B).
`
` For the reasons stated above, Frontier respectfully requests that the Court lift
`
`the automatic stay.

`Upon the motion (the “Motion”)2 of the above-captioned debtors and debtors in possession
`
`(collectively, the “Debtors”) for entry of an order (this “Order”), modifying the automatic stay in
`
`effect in these cases under 11 U.S.C. § 362(a) to permit the Debtors to participate in certain pending
`
`multi-district litigation, all as more fully set forth in the Motion; and this Court having jurisdiction
`
`over this matter pursuant to 28 U.S.C. §§ 157(a)-(b) and 1334(b) and the Amended Standing Order
`
`of Reference from the United States District Court for the Southern District of New York, dated
`
`January 31, 2012; and this Court having found that it may enter a final order consistent with Article
`
`III of the United States Constitution; and this Court having found that venue of this proceeding
`
`and the Motion in this district is proper pursuant to 28 U.S.C. §§ 1408 and 1409; and this Court
`
`having found that this is a core proceeding pursuant to 28 U.S.C. § 157(b); and this Court having
`
`found that the Debtors’ notice of the Motion and opportunity for a hearing on the Motion were
`

`appropriate under the circumstances and that no other notice need be provided; there being no
`
`objections to the requested relief; and upon the record of the hearing held by the Court on the
`
`Motion on May 22, 2020 and all of the proceedings herein; and, after due deliberation, this Court
`
`having determined that the legal and factual bases set forth in the Motion and at the hearing
`
`establish good and sufficient cause for the relief granted herein; now, therefore, it is HEREBY
`
`ORDERED THAT:

`The Motion is granted as set forth herein.
`
`The automatic stay in effect in these cases under 11 U.S.C. § 362(a) is lifted and
`
`modified pursuant to 11 U.S.C. § 362(d)(1) for the purpose of allowing the Debtors and any other
`
`parties to the Appeal to continue the litigation of the Appeal.
`
`3.
`
`Notice of the Motion as provided therein shall be deemed good and sufficient notice
`
`of such Motion, and the requirements of Bankruptcy Rule 6004(a) and the Local Rules are satisfied
`
`by such notice.
`
`4.
`
`Notwithstanding anything to the contrary, the terms and conditions of this Order
`
`are immediately effective and enforceable upon its entry.
`
`5.
`
`The Debtors are authorized to take all actions necessary to effectuate the relief
`
`granted in this Order in accordance with the Motion.
`
`6.
`
`This Court retains exclusive jurisdiction with respect to all matters arising from or
`
`related to the implementation, interpretation, and enforcement of this Order.
