`that Plaintiff raised or could have raised in this action are dismissed WITH PREJUDICE. All

`claims, defenses, or counterclaims that Defendant raised in this action are dismissed WITHOUT

`PREJUDICE. Each Party will bear its own costs, expenses, and attorneys’ fees.
