`Mr. McKinley is a founder, co-founder and principal of over a dozen
`technical businesses. These businesses include: Advanced
`Information Systems, LLC (sophisticated advertising media),
`McKinley Technology, Inc. (consultants), Amazing Concepts, LLC
`(odor eliminating technology), and Commercial Applications
`Network, Inc. (CAN). CAN was established in 1989 with the mission
`of using highly coordinated, networked teams to quickly
`commercialize selective technologies and product innovations.
`Through its worldwide network of experts, and unique database
`system, CAN is able to effectively assess the potential success of
`new technologies and implement the marketing plans necessary to
`commercialize new products.
`
`Prior to his involvement with CAN, Mr. McKinley held various
`technical and management positions with the Dow Chemical
`Company, where he worked for fourteen years. In his position as a
`product manager at Dow, Mr. McKinley successfully developed and
`commercialized the first diaper liner with super absorbent
`properties, and was able to form a joint venture with a diaper
`company. At Dow, Mr. McKinley pioneered various polymer and
`other technologies, and has been involved in the development of
`seven patented products. Mr. McKinley also participated in a
`corporate-sponsored executive MBA program with the University of
`Michigan, and holds a BS in chemistry and a BA in psychology from
`Saginaw Valley State University.

`David Hoyle-President/Founder
`
`Mr. Hoyle started his first business at age 12, his first partnership at
`age 18 and his first corporation at age 19. All businesses were
`either sold or ended profitability. He attended college at Western
`Carolina University with a major in business management and a
`minor in economics.
`
`Upon graduation, Mr. Hoyle assumed the role of general manager
`of a trucking business. In the first year as general manager, Mr.

`Hoyle took the company from a rating of 422 out of 435 agents
`across the United States in sales and operations performance, and
`finished the same year rated 7 out of 435. Total gross sales were
`doubled.
`
`Mr. Hoyle began his own trucking company, which attained a rank
`of 14 out of 400 agents in overall sales performance. In 1991, Mr.
`Hoyle sold his company and began working as executive vice
`president for one of the largest trucking companies (Gross Sales
`$75 million) in the U.S.., based in Denver, CO. Under Mr. Hoyle's
`leadership, the company's standards were raised to number one in
`loss prevention and number two in safety throughout the United
`Van Line Agency Group- a group that consisted of over 600 agents
`throughout the world. Mr. Hoyle assisted the company in a
`$2,500,000 acquisition of another agent in the Van Line industry.
`Afterwards, Mr. Hoyle accepted the general manager position in the
`acquired company. The new company was losing $1,000,000
`annually, but in Mr. Hoyle's first 10 months, the Company was
`returned to profitability, ending the year with a $1,250,000 net
`profit.
`
`Following this project, David began consulting with various
`companies, improving profitability and becoming familiar with a
`variety of business computer applications. With the explosion and
`popularity of the Internet, Mr. Hoyle, in 1995, became convinced
`that the future of business would be intertwined with the Internet's
`future. With Mr. Hoyle's previous experience in various computer
`languages and applications, he began working with several Internet
`companies and programmers, learning the skills necessary to take
`advantage of this new technology. The combination of Mr. Hoyle's
`previous business experience, combined with knowledge of this
`new technology, has given him the ability to see the shortcomings,
`and hence opportunities, of the Internet. Mr. Hoyle believes that
`these opportunities may be transformed into profitable ventures
`with quick and timely action.
`
`Most recently, Mr. Hoyle contracted his expertise to a Fortune 500
`company based in New Orleans, LA. His position placed him in the
`Advanced Technologies Multimedia Laboratory. This lab,
`sometimes called the "Skunk Works", researched various kinds of
`new cutting edge technology, which could then be utilized by the
`company to maximize profitability.

`Officer
`
`Mr. Borschke holds a BS in Chemistry from the University of
`Windsor, a Master of Science in chemistry from the University of
`Toronto, and a Juris Doctororate from the Detroit College of Law.
`Mr. Borschke is licensed to practice in the states of Michigan and
`Florida, and licensed to practice before the U.S. Patent and
`Trademark Office. He is a member of the American Bar Association

`Mr. Borschke, currently Senior Counsel for R.J. Reynolds Tobacco
`Company in Winston -Salem, NC, has been employed by Reynolds,
`and its parent, RJR Nabisco, Inc., since 1985. He handles a variety
`of corporate matters, specializing in matters involving technology,
`and particularly matters involving patent, trade secret and
`technology transfer issues. Mr. Borschke is a member of the Board
`of Directors of Reynolds Technologies, Inc. as well as Secretary of
`Targacept, Inc.
`
`David Stavenger-New Product Development
`
`Mr. Stavenger has extensive experience in new product
`development and new business development as a strategy
`counselor and advisor to growing businesses. He recently retired
`fro a 30-year career in product and business development at the
`Dow Chemical Company. He developed business plans, secured
`executive support, and launched two new businesses in 1996; each
`over $100 million and growing ahead of plan in 1997. He has been
`involved in strategy development for several large acquisition teams
`in 1997.
`
`Mr. Stavenger has had a career-long interest in the process of new
`business development. He developed the methodology and
`process steps for exploration of new business and new product
`opportunities. He also helped refine a process to critically evaluate
`opportunities based on market factors and allow rapid progress to
`successful product introductions. As part of leading corporate
`change, he taught a course on opportunity analysis and coached
`many new critical thinkers.
`
`Mr. Stavenger is a member of the Product Development and
`Management Association. He received the "Galaxy Award" for
`significant business impact through market research.
`
`Mr. Stavenger earned a M.B.A. from the University of Chicago with
`a major in marketing and finance. He received a B.A. degree from
`Hope College with a major in chemistry.
`
`Susan Cook-Contract Negotiations and Strategic
`Alliances
`
`Susan M. Cook is a shareholder in the law firm Lambert, Leser,
`Cook, Giunta & Smith, P.C. in Bay City, Michigan. She has been
`practicing in the area of bankruptcy and business law, with
`emphasis on prepresentation on debtors in business
`reorganizations, since 1980. She served as legal counsel for
`Concentric Network Corporation, an Internet provider, in it's early
`start up years. She also assisted Mark Collins Rector, founder of
`Concentric Network, in raising capital for his new start up network,
`the Digital Entertainment Network.
