`B.E. Technology is a limited liability company formed under the laws of the State of
`Delaware in 1997 . Its principal office of record is in Bay City, Michigan, and its
`operations are headquartered in New Orleans, Louisiana .
`
`The conduct of business is governed by the company's Operating Agreement . This
`Agreement was entered into by the six initial Members of the company in December,
`1998 . Significant control of day-to-day business is vested in the Managers named in the
`Operating Agreement, Mark McKinley and David Hoyle .
`
`The Operating Agreement sets forth the understanding regarding capitalization and
`distribution, governance of the company, and its initial obligations . The RR Technology
`Group, LLC, as a lender to Big East Technologies, is entitled to repayment of its loan
`ahead of distributions to members. The amount of this debt is $219,000 plus accrued
`interest of 10% . Additionally, the Operating Agreement provides that RR Technology
`Group, LLC, shall receive a preferred distribution in the amount of $2,183,400 on or
`before December 31, 2002, or as soon as possible thereafter, and this obligation must be
`satisfied prior to making distributions to other Members.
`
`Each Class A Unit represents a one percent (1%) Class A membership in big Easy
`Technologies. Each purchaser of one-eighth or more Class A Units is a Class A Member.
`Class A membership carries with it the right to receive distributions of the company's
`assets, if any, and the right to vote on certain matters pursuant to the company's
`Operating Agreement, including the election of company Managers .
`
`No distributions are guaranteed to Class A Members . As a limited liability company, Big
`Easy Technologies is taxed as a"partnership" under Subchapter K of the Internal
`Revenue Code . The company intends to cover any tax obligation to its Class A Members
`arising from their investment in a separate distribution ; however, this also is not
`guaranteed .
