`RENEWED MOTION TO SUSPEND PROCEEDINGS IN VIEW OF PENDING CIVIL
`ACTION PURSUANT TO TRADEMARK RULE 2.117(A)
`
`Registrant NutraMarks, Inc. (“NutraMarks”) moves pursuant to Trademark Rules
`
`2.117(a) and 2.127(a), and TBMP § 510.02(a) for suspension of the instant cancellation
`
`proceeding pending determination of a related federal civil action. This motion is identical to the
`
`motion previously filed, except that Registrant inadvertently omitted the Complaint in the
`
`underlying action, which is now attached.
`
`NutraMarks and Petitioner Bayer HealthCare LLC (“Bayer”) are involved in litigation in
`
`the United States District Court for the District of Utah, entitled Nutraceutical Corporation et al.
`
`v. Bayer Healthcare LLC, Civil Action No. 2:13-cv-00955-TC (the “Federal Action”). Because
`
`NutraMarks is concerned with both maintaining its registration and its real-world use of the same
`
`mark, it filed a Declaratory Judgment Complaint in order to resolve with certainty its rights to
`
`use its registered mark ALKAMAX. See Complaint for Declaratory Judgment filed on October
`
`17, 2013 (filed herewith as Exhibit A). Bayer filed its Answer to the Complaint and
`
`Counterclaim on April 9, 2014 (filed herewith as Exhibit B). The Federal Action involves the
`
`same parties, the same mark, and the same issues as those involved in the instant opposition
`
`

`
`proceedings, that is, whether a likelihood of confusion exists between NutraMarks’ ALKAMAX
`
`mark and Bayer’s asserted ALKA-SELTZER marks. In addition, in the Federal Action
`
`NutraMarks seeks an Order “enjoin[ing Bayer] and restrain[ing it] permanently from interfering
`
`with [NutraMarks’] use or registration of the ALKAMAX mark…and from opposing or
`
`otherwise objecting or seeking to cancel any of [NutraMarks’] federal registrations or
`
`applications for ALKAMAX based upon an alleged likelihood of confusion with ALKA-
`
`SELTZER.” See Complaint (Ex. A) at “Prayer for Relief.”
`
`Where the parties to a proceeding before the Board are involved in a civil action, the final
`
`determination of which will have a bearing on the proceeding before the Board, the TTAB
`
`proceedings should be suspended until final determination of the civil action. See 37 C.F.R. §
`
`2.117(a); The Other Telephone Company v. Connecticut National Telephone Company, Inc., 181
`
`U.S.P.Q. 125, 127 (T.T.A.B., Feb. 11, 1974); Miller v. B&H Foods, Inc., 209 U.S.P.Q. 357, 359
`
`(T.T.A.B. Jan. 5, 1981) (“[U]nder normal circumstances, where, as here, the civil action between
`
`the parties may be dispositive or have a direct bearing on the issues in a proceeding before the
`
`Board, it is the practice to suspend the proceeding before the Board to await the outcome of the
`
`civil action and to determine its effect on the issues in the action in the Patent and Trademark
`
`Office.”); see also The Toro Company v. Hardigg Industries, Inc., 187 U.S.P.Q. 689, 692
`
`(T.T.A.B. August 19, 1975) (granting motion to suspend based on a civil action seeking an
`
`injunction: “Thus there can be no doubt but that the final resolution of the civil action may be
`
`dispositive of the issues involved in this proceeding”).
`
`Here, the determination of the issues in the Federal Action will not only “have a bearing
`
`on,” but will be dispositive of these proceedings, so suspension is proper. See id. (“[W]hile the
`
`decision of the Federal District Court would be binding upon the Patent and Trademark Office, a
`

`decision by the Board would not be binding or res judicata as to the issues before the court”).
`
`Suspension will also avoid the unnecessary expenditure of both the Board’s and each of the
`
`parties’ resources in litigating the same issue in two forums and will avoid the potential for
`
`inconsistent results.
`
`For the above reasons, NutraMarks respectfully requests that the Board grant this Motion
`
`and suspend the above-captioned opposition proceedings pending the final disposition of the
`
`Federal Action.
`

`Plaintiff NutraMarks, Inc. (“NutraMarks”) is a Delaware corporation with a

`JURISDICTION AND VENUE
`

`This action arises and is brought under the Declaratory Judgment Act, 28 U.S.C.
`
`§§ 2201-2202, and the Trademark Act of July 5, 1946, as amended, commonly known as the
`
`Lanham Act, 15 U.S.C. § 1051, et seq. and Utah statutory and common law.
`

`Subject matter jurisdiction exists under 15 U.S.C. § 1121 and 28 U.S.C.
`
`§§ 1331, 1338, and 2201-2202.
`

`
`This Court possesses personal jurisdiction over Defendant because, upon
`
`information and belief, it regularly and continuously transacts business in the State of Utah.
`

`
`Venue is proper in the United States District Court for the Central District of Utah
`
`pursuant to 28 U.S.C. § 1391(b) because, upon information and belief, Defendant has regularly
`
`and continuously transacted business within the State of Utah.

`GENERAL ALLEGATIONS
`
`Background on Plaintiffs’ Business
`
`
`

`Nutraceutical (directly and through its subsidiaries) manufactures, distributes, and
`
`sells a wide variety of nutritional and dietary supplements, cosmetic products, and therapeutic
`
`topical products in health and natural food stores and similar outlets nationwide.
`
`9.
`
`NutraMarks is a wholly-owned subsidiary of Nutraceutical and owns the
`
`trademark rights to the ALKAMAX trademark at issue.
`
`10.
`
`Since at least as early as 2002, Nutraceutical and its predecessors have used the
`
`ALKAMAX mark in commerce throughout the United States in connection with the advertising
`
`and sale of an “alkaline booster” nutritional supplement product.
`
`11.
`
`On February 21, 2011, Plaintiffs’ predecessor filed an application to register the
`
`ALKAMAX mark with the United States Patent and Trademark Office (“USPTO”) for “dietary
`
`and nutritional supplements.”
`
`12.
`
`The trademark application was duly examined by a Trademark Examiner at the
`
`USPTO, who inter alia searched the USPTO records to determine whether any other registered
`
`mark presented a likelihood of confusion with the ALKAMAX mark.
`
`13.
`
`On May 2, 2012, the USPTO approved the ALKAMAX application for
`
`registration and, pursuant to 15 U.S.C. § 1062(a), published the mark for opposition. Having
`
`received no objection or opposition within the prescribed period, on August 7, 2012, the USPTO
`
`registered the mark AKLAMAX for “dietary and nutritional supplements” in International Class
`
`5. A copy of NutraMarks’ trademark registration for ALKAMAX is filed herewith as Exhibit 1.

`Background on Defendant
`

`
`Upon information and belief, Bayer is a wholly-owned subsidiary of Bayer AG, a
`
`German corporation, which is global enterprise specializing in the fields of health care, nutrition,
`
`crop science, and high-tech materials.
`
`15.
`
`Upon information and belief, Bayer uses the name ALKA-SELTZER in
`
`connection with the advertising and sale of “over the counter” (OTC) antacid effervescent and
`
`pain reliever products.
`
`16.
`
`Upon information and belief, Bayer is the owner of several U.S. Trademark
`
`Registrations for the mark ALKA-SELTZER for antacid effervescent preparations, pain
`
`relievers, and dietary supplements.
`
`Defendant Seeks to Cancel NutraMarks’ Trademark Registration
`
`On September 13, 2013, Bayer filed a Petition for Cancellation with the
`
`17.
`
`Trademark Trial and Appeal Board (“TTAB”) seeking to cancel NutraMarks’ trademark
`
`registration for the ALKAMAX. Notwithstanding the Trademark Examiner’s contrary view of
`
`the matter, Bayer asserted that NutraMarks’ use of the ALKAMAX mark is likely to cause
`
`confusion, mistake, and/or deception with Bayer’s ALKA-SELTZER mark, and that Bayer will
`
`be damaged by the continued registration of the ALKAMAX mark for the goods identified in the
`
`registration. A copy of Bayer’s September 13, 2013 Petition for Cancellation is attached as
`
`Exhibit 2.
`

`Based on its Petition for Cancellation, Bayer maintains that a likelihood of
`
`confusion exists between Plaintiffs’ ALKAMAX product and Bayer’s ALKA-SELTZER
`
`product, which constitutes trademark infringement under the Lanham Act. However, despite the
`
`
`

`fact that Nutraceutical and its predecessors have sold the ALKAMAX products in the market
`
`since 2002, Bayer has taken no action to file suit or otherwise stop Plaintiffs’ use or sale of the
`
`ALKAMAX products.
`

`Under the circumstances, Plaintiffs possess an objectively reasonable
`
`apprehension that Bayer will file suit for trademark infringement based upon Bayer’s allegations
`
`in the Petition for Cancellation.
`
`20.
`
`Therefore, there exists an actual and justiciable controversy between NutraMarks
`
`and Bayer regarding whether Plaintiffs’ use of the ALKAMAX mark is infringing the alleged
`
`trademark rights owned by Bayer.
`
`21.
`
`Under the relevant factors for determining infringement, there is no likelihood of
`
`confusion between the parties’ respective uses of their marks. The only commonality between
`
`the marks, ALKA, is descriptive of the properties of the products. There are a multitude of third-
`
`party antacid and alkaline additive products that begin with ALKA, including ALKA CAL,
`
`ALKA CLEANSE, ALKA PRO, ALKA ZONE, and others.
`
`22.
`
`Unlike Bayer’s ALKA SELZTER product, Plaintiffs’ ALKAMAX product is not
`
`an “over the counter” (OTC) product, is not an antacid, and is not an effervescent product. On
`
`the contrary, it’s an alkaline booster/stabilizing product, classified as a dietary supplement.
`
`23.
`
`Unlike Bayer’s ALKA SELZTER product, Plaintiffs’ ALKAMAX product is not
`
`sold in mass market retail outlets, but instead is sold through health food and other natural food
`
`stores and outlets. Despite co-existing in the market for over ten years, there have been no
`
`instances of actual confusion between the products.

`Plaintiffs’ right to use its ALKAMAX trademark, including the continued
`
`marketing and sale of its ALKAMAX products, is now clouded as a result of Bayer’s actions.
`
`Bayer’s allegations will continue to impede and interfere with Plaintiffs’ legitimate business
`
`interests and objectives, thereby constituting actual harm and injury to Plaintiffs.
`
`FIRST CLAIM FOR RELIEF
`(Declaratory Judgment of Non-Infringement)

`Plaintiffs incorporate by this reference the allegations contained in the preceding

`Plaintiffs do not infringe any existing and valid trademark right of Bayer in

`sale of antacid effervescent preparations, pain relievers, and dietary supplements.

`Petitioner owns the trademark registrations shown below, all comprised of its

`trademark, and all of which, except the registrations for ALKA-SELTZER (stylized), Reg. No.

`283,831 and ALKA-SELTZER PLUS IMMUNITY COMPLEX, are incontestable pursuant to 15

`U.S.C. § 1065 and 1115(b).

`By virtue of Petitioner's and its predecessors‘ extensive sales, advertising and

`promotion of antacid effervescent preparations, pain relievers, and dietary supplements under

`their ALKA-SELTZER trademark, Petitioner and its predecessors have built up and petitioner

`now owns valuable goodwill symbolized by its ALKA-SELTZER trademark.

`By virtue of the aforesaid extensive sales, advertising and promotion, the ALKA-
`
`SELTZER mark is famous, and achieved that fame long prior to the priority date of Registration
`
`No. 4,184,983.

`The use by Registrant of the trademark ALKAMAX for “dietary and nutritional
`
`supplements” and as a solution “to avoid over-acidity and occasional heartburn,” is likely to
`
`result in confusion with Petitioner’s ALKA-SELTZER trademark, or in the mistaken belief that
`
`Registrant or its ALKAMAX products are in some way legitimately connected with, licensed or
`
`approved by Petitioner.
`

`On information and belief, neither Registrant nor any predecessor or related
`
`company of Registrant has a claim of right in the mark ALKAMAX prior to May 24, 2002, the
`
`date of first use in commerce cited in the application that matured into Registration No.
`
`4,184,983.
`

`Registranfs use and registration of the trademark ALKAMAX are without
`
`Petitione-r’s consent or permission.
`
`WHEREFORE, registration by Registrant of ALKAMAX for the aforesaid goods is
`
`damaging to Petitioner and Petitioner prays for cancellation of Registration No. 4,184,983.
`
`Petitioner herein has submitted the requisite filing fee in the amount of $300. Please
`
