`to-rnonth unless and until one or more of the parties delivers written notice to the others
`of his intent to cancel the agreement.

`Dear Mr. Beck:
`
`Thank you for filing the request for dismissal. My clients propose the following
`settlement.
`
`The partnership among Dzrvid Pack, Burlcigh Drummoud and Joe Pucrta,
`1.
`to the extent it still exists, will be dissolved.
`
`Burleigh Drummond and Joe Puerta will have the right to continue to use
`2.
`the name "Ambrosia” wi thou: interference. They will provide notice to each venue in
`which they play that David Pack is no longer a member of the band.
`
`David Pack will have the right to continue to refer to himself as one of
`3.
`the founding members of “Ambrosia.”
`
`Joe and Burleigh will release their claims (3 35,000+‘) for shows lost as
`4.
`the result of David's or othcr's communications with venues that were already booked or
`could have been booked. They will also release their claims for the substantial damage
`to the reputation of the band caused by such communications. Burlcigh and Joe will
`forgive the debt David owes them in connection with payments they made to Warner
`Brothers on his behalf (approximately $3,000). They will also forgive the debt David
`owes them in connection with merchandise or equipment he sold for his own benefit. In
`addition, Joe will assign all his right, title and interest in the] 950 Gibson J-200 that he
`and David currently co-own, without further consideration.
