`Opposer, Trulieve, Inc., a Florida corporation with a principal place of business at 3494

`Martin Hurst Rd., Tallahassee, Florida 32312, believes that it will be damaged by the issuance of
`
`registrations for the alleged mark shown in Application Serial No. 97/564,204. Opposer hereby
`
`opposes same pursuant to Section 13(a) of the Lanham Trademark Act of 1946 (“Lanham Act”),
`
`15 U.S.C. § 1063(a).
`
`As grounds for opposition, Opposer alleges as follows:
`

`Opposer, itself and through its related companies (collectively, “Trulieve”), is a
`
`vertically integrated cannabis company with operations across the United States that include
`
`cannabis cultivation, cannabis-derived product manufacturing, retail store operations, and
`
`consumer education services.

`Trulieve provides a range of cannabis-derived goods, non-cannabis merchandise,
`
`and related services (the “Alchemy Goods and Services”) under the mark ALCHEMY in various
`
`forms and designs (the “ALCHEMY Marks”).
`

`Trulieve has used the ALCHEMY Marks in interstate commerce in the United
`
`States continuously since at least June of 2016 in connection with the provision, offering for sale,
`
`sale, marketing, advertising, and promotion of its Alchemy Goods and Services. Attached hereto
`
`as Exhibit 1 are copies of representative samples of Trulieve’s websites available at trulieve.com
`
`and evolab.com showing Trulieve’s use of the ALCHEMY Marks in connection with these goods
`
`and services.
`

`Trulieve, through wholly-owned subsidiary CBx Enterprises LLC, d/b/a CBx
`
`Sciences (“CBx”), is the owner of United States Trademark Registration Nos. 5,360,072 and
`
`6,130,655 for the mark ALCHEMY in connection with branded promotional merchandise goods
`
`(the “Alchemy Registrations”). The Alchemy Registrations are valid and subsisting on the
`
`Principal Register in the United States Patent and Trademark Office. In addition, Trulieve owns
`
`pending U.S. Trademark Application Serial Nos. 97/678,129 and 97/678,144 for the mark
`
`ALCHEMY (the “Alchemy Applications”). Attached as Exhibit 2 is a true and correct printout
`
`from the United States Patent and Trademark Office electronic database showing the current status
`
`and title of the Alchemy Registrations and the Alchemy Applications as of July 18, 2023.
`

`Trulieve has expended substantial time, money, and resources marketing,
`
`advertising, and promoting the goods and services provided under the ALCHEMY Marks,
`
`spending hundreds of thousands of dollars on the marketing, advertising, and promotion of the
`
`goods and services provided under the ALCHEMY Marks in the United States.

`Trulieve has provided goods and services under its ALCHEMY Marks in
`
`connection with substantial retail sales revenue.
`
`7.
`
`As a result of its widespread, continuous, and exclusive use of the ALCHEMY
`
`Marks to identify its goods and services, Trulieve owns valid and subsisting federal statutory and
`
`common law rights in the Alchemy Marks.
`
`8.
`
`Trulieve’s ALCHEMY Marks are distinctive to both the consuming public and
`
`Trulieve’s trade.
`
`9.
`
`Trulieve, through at least its subsidiary CBx, has extensive experience in the
`
`development of cannabis-derived extract products including topical and ingestible products, in
`
`addition to inhalable products, featuring various cannabis-derived ingredients, including
`
`cannabidiol (CBD). Attached hereto as Exhibit 3 are copies of pages from Trulieve’s
`
`cbxsciences.com website for CBx showing the range of products and services offered by CBx.
`

`As used herein, the term “cannabis” includes hemp. Accordingly, the term
`
`“cannabis-derived” as used to describe products, extracts or ingredients includes hemp-derived
`
`products, extracts and ingredients, including hemp-derived CBD.
`

`
`Trulieve, as an enterprise, is actively engaged in assessment of opportunities for
`
`market and brand expansion, including expansion of existing marks such as Trulieve’s
`
`ALCHEMY Marks to include additional products such as topical and ingestible health and
`
`wellness products.
`
`12.
`
`Applicant The HER Effect LLC, with an address at PO Box 327, Rockwood,
`
`Tennessee 37854, on August 25, 2022, filed trademark Application Serial No. 97/564,204 to

`register the proposed mark THE ALCHEMY CODE for goods and services including: “Non-
`
`medicated herbal body care products, namely, lotions, essential oils, soaps, deodorants, and
`
`cosmetics” in International Class 03; “Dietary and nutritional supplements; Herbal supplements”

`in International Class 05; “Educational services, namely, conducting seminars, workshops,
`
`presentations, classes, courses, retreats, certification training, non-downloadable podcasts, and
`
`mentoring groups in the field of herbalism, naturopathic diagnostic and healing protocols,
`
`medicinals, tinctures, supplements, skincare, self care, and inner and outer beauty and health and
`
`distribution of educational materials in connection therewith” in International Class 41; and
`
`“Providing a web site featuring information on health and nutrition; Providing a website featuring
`
`information and advice in the fields of diet, weight loss, diet planning and lifestyle wellness” in
`
`International Class 44.
`

`Trulieve’s ALCHEMY Marks have priority over Applicant’s proposed mark
`
`because Trulieve’s use and registration dates predate the Applicant’s filing date and any other date
`
`on which the Applicant may rely for purposes of priority.
`
`14.
`
`Applicant’s proposed mark THE ALCHEMY CODE is similar to, and fully
`
`incorporates the literal element of, Trulieve’s ALCHEMY Marks.
`
`15.
`
`The goods and services covered by the Applicant’s Application Serial No.
`
`97/564,204 are similar to goods and services Trulieve currently offers and may in the future offer
`
`under its ALCHEMY Marks.
`

`
`Trulieve offers cannabis-derived products and related items under its ALCHEMY
`
`Marks.

`Trulieve also provides a website with consumer information services in the field of

`cannabis and cannabis-derived products in connection with its ALCHEMY Marks.
`

`Applicant’s applied-for goods and services identified above in paragraph 12 are

`similar to goods and services provided by Trulieve under its ALCHEMY Marks.
`
`19.
`
`Applicant’s counsel indicated by email correspondence to undersigned Trulieve
`
`counsel dated April 18, 2023 that Applicant has “plans to start incorporating CBD into its skincare
`
`and supplement products, which would then bleed over to covering those topics on its website.”
`
`20.
`
`Stated differently, according to the April 18, 2023 communication from Applicant’s
`
`counsel, Applicant has plans to offer cannabis-derived products and related services under
`
`Applicant’s prosposed “alchemy” formative mark.
`
`21.
`
`The plans by Applicant to offer goods comprising cannabis-derived ingredients and
`
`related services under Applicant’s proposed “alchemy” formative mark thus converge on
`
`Trulieve’s current and potential future uses of its ALCHEMY Marks.
`
`22.
`
`Consumers are likely to be confused by the co-existence of the Applicant’s
`
`proposed mark and the ALCHEMY Marks on the Federal Register, and if Applicant’s proposed
`
`mark is permitted registration, Trulieve’s senior marks will be irreparably harmed, and Trulieve
`
`may also be prevented from registering its ALCHEMY Marks in connection with various
`
`consumer information and educational services, cannabis-derived extract goods, including goods
`
`with hemp-derived CBD and other ingredients, and related goods.

`Applicant’s proposed mark is barred from registration because it consists of or

`comprises a mark which so resembles Trulieve’s previously used and registered ALCHEMY

`Marks as to be likely, when used in connection with the alleged goods and services of Applicant,

`to cause confusion, mistake, or deception within the meaning of 15 U.S.C. § 1052(d).
