`Pursuant to Fed. R. Civ. Proc. 56, 37 C.F.R. §2.127, and TBMP 528, Applicant Holy
`
`Spirits, LLC (“Holy Spirits”) hereby states the following in opposition to the Motion for
`
`Summary Judgment of Opposer STF Enterprises, LLC (“STF”) filed July 10, 2014. Reviewing
`
`each paragraph of STF's motion in turn:
`
`A.
`
`Paragraph 1 of STF’s Motion for Summary Judgment
`
`STF alleges that it owns the copyright to the applied-for mark with serial number
`
`85/554993:
`

`STF is apparently alleging that Holy Spirits has committed copyright infringement by
`
`using STF’s copyrighted design without STF’s consent. However, “the Board does not
`
`have jurisdiction to determine copyright infringement claims.” Carano v. Vina Concha Y
`
`Toro S.A., 67 USPQ2d 1149, 1152 (TTAB 2003). “An allegation of copyright
`
`infringement alone does not constitute the necessary statutory ground which negates the
`
`[applicant’s] right to the subject registration.” Id. at 1151. The allegation of copyright
`
`ownership is consequently irrelevant here.
`

`As stated in TBMP §528.05(a)(1), any evidence which is not already part of the record,
`
`but “which a party wishes to have considered upon summary judgment, must be
`
`submitted in connection with the summary judgment motion.” Here, STF wishes the
`
`Board to consider a copyright registration, yet STF has not provided a copy of the
`
`copyright registration setting forth the details of the alleged copyright. Without this
`
`evidence, the alleged copyright registration could not be considered by the Board even if
`
`arguendo the registration were relevant.

`Even if it was proper to consider any copyright registration held by STF, the applied-for
`
`mark with serial number 85/554993 is for the following design:
`
`It includes the likeness of Father Domenic J. Roscioli (who is commonly known as
`
`“Father Dom”), a principal of Holy Spirits. This design is a modified version of a prior
`
`design which was not authored or copyrighted by STF (and to which STF otherwise holds
`
`no rights), and which has been used by Father Dom on another product, FATHER
`
`
`

`DOM’S Duck’s Doo Compost, since at least as early as 2004 (see Exhibit 11), many
`
`years before STF existed and many years before Holy Spirits met STF:
`
`
`
`Since the applied-for design depicted in serial number 85/554993 is a modified version of
`
`the prior design, the applied-for design is a “derivative work” within the meaning of 17
`
`USC §101, and any alleged copyright held by STF therein “extends only to the material
`
`contributed by the author of such work” (17 USC §103(b)). Since such contribution
`
`appears to merely be the addition of the words “PREMIUM PRODUCTS” – words which
`
`have been disclaimed from serial number 85/554993 – and since copyright protection
`
`does not extend to words and short phrases such as PREMIUM PRODUCTS,2 the
`
`validity of any alleged copyright held in the design by STF is doubtful.
`

`
`Paragraph 2 of STF’s Motion for Summary Judgment
`
`STF apparently alleges that it owns the copyright to a part of a specimen filed as part of
`
`Holy Spirits’ application for registration of the FATHER DOM'S mark (serial number
`
`85/554963):
`
`The logo for the “Papal Pancake Mix” is shown in Exhibit C of STF’s Motion. This allegation is
`
`irrelevant to these proceedings for the reasons discussed in the foregoing part A of this brief.
`

`
`C.
`
`Paragraph 3 of STF’s Motion for Summary Judgment
`
`STF apparently alleges that it was granted a license to the Father Dom’s image, and in
`
`support provides an email chain in which Father Dom’s image was allegedly emailed by Holy
`
`Spirits to STF, then by STF to STF’s graphic designer:
`
`Assuming that the email chain is authentic,3 STF’s Exhibit A does not show that STF was given
`
`a license but rather only that it was emailed an image. Even if arguendo this email chain
`
`suggests STF was effectively granted a license, STF’s admission that it was “licensed” inherently
`
`recognizes that Holy Spirits is the proper owner of what is being licensed, with the right to
`
`control use thereof. Holy Spirits would not be able to license the “Father Dom’s image” to STF
`
`
`
`if it was not the owner thereof.
`
`
`3 The documents submitted by STF as part of its Exhibits have not been authenticated, and Applicant does
`not waive this objection. Nonetheless, Applicant will assume they are authentic for the purpose of

`D.
`
`Paragraph 4 of STF’s Motion for Summary Judgment
`
`STF apparently alleges that it owns the copyrights in the FATHER DOM's product labels
`
`shown in its Exhibit C:
`
`
`
`As discussed above, copyrights are irrelevant to this proceeding. However, it is notable that
`
`when designing the labels in STF’s Exhibit C, STF’s graphic artist began with the preexisting
`
`design for FATHER DOM’S Duck’s Doo Compost (shown above), and added minor elements
`
`(such as hats on Father Dom’s head). In fact, STF’s own Exhibit D shows an email from Father
`
`Dom to a newspaper stating that the artwork from the FATHER DOM’S Duck’s Doo Compost
`
`label is used as “the base for the food labels designed by [STF’s graphic artist].” In other words,
`
`each of the labels designed by STF’s graphic artist starts with the FATHER DOM’S Duck’s Doo
`
`Compost label and makes one or more additions corresponding to a particular food product. The
`
`labels are derivative of the FATHER DOM’S Duck’s Doo Compost label, and if arguendo STF
`
`owns any copyright in them, it is for the element(s) added by STF (to the extent any such
`
`elements are copyrightable). But no such added element(s) are relevant to the applied-for marks
`
`here.

`E.
`
`Paragraph 5 of STF’s Motion for Summary Judgment
`
`STF asserts that Father Dom acknowledges that STF’s graphic artist designed “Father
`
`Dom labels and web content.”
`
`
`
`By this statement, STF appears to be supporting its ownership of the alleged copyrights
`
`discussed in Paragraph 4 of its Motion for Summary Judgment. As discussed above, any such
`
`copyrights are irrelevant to this proceeding. Moreover, looking to the email from Father Dom in
`
`STF’s cited Exhibit D, the email states that the food product labels start with the original artwork
`
`in FATHER DOM’S Duck’s Doo Compost, which was not created or owned by STF or STF’s
`
`graphic artist, but rather by “Zunda Design [the folks that create Newman’s Own Labels].”
`
`STF’s own Exhibit therefore illustrates that the FATHER DOM’S text mark of serial number
`

`85/554963, as well as the design of serial number 85/554993 (save for the words “PREMIUM
`
`PRODUCTS”), predate any involvement by STF.
`
`F.
`
`Paragraph 6 of STF’s Motion for Summary Judgment
`
`STF apparently alleges that it was the first to make a sale of “the Father Dom products”
`
`and thus has an ownership interest in the applied-for marks:
`

`Holy Spirits sold and delivered the Father Dom products at least as early as June 2011,
`
`months before STF’s alleged sale of 10/19/2011. See Exhibit 2.4 This fact was
`
`acknowledged by STF in an email dated June 20, 2011. See Exhibit 3. Holy Spirits’
`
`prior use further emphasizes that Holy Spirits and not STF is the actual owner of the
`
`
`
`applied-for marks.5
`

`The marks in question were generated when Holy Spirits contracted with STF for
`
`assistance with starting a line of gourmet food products (“the FATHER DOM’S line”)
`
`that would be used in fundraising for charitable causes. See Exhibit 4 pg. 1. STF was to
`
`generate the goods and their packaging, and assist with their sale. See id. This is STF’s
`
`business (see Exhibit 5 pars. 4, 5), and Holy Spirits paid STF for the services provided
`
`under its contract. See Exhibit 6.
`

`STF recognized its status as an independent contractor to Holy Spirits, as further
`
`evidenced by its filing a lawsuit against Holy Spirits for “outstanding invoices.” See
`
`Exhibit 5, ¶20. Specifically, STF sued Holy Spirits for “past due accts – various dates –
`
`June 4, 2011 to present,” as stated in its complaint against Holy Spirits filed on March 1,
`
`

`While interstate use is a prerequisite to federal registration, and applicant must file
`evidence of the same before any registration will issue, rights in the mark itself are not

`Consequently, Holy Spirits’ rights were created well before STF’s alleged sale of October 2011.

`
`Exhibit 8.

`As seen from STF’s Notice of Opposition and its Answer in Response to Holy Spirits’
`
`Motion for a More Definite Statement, STF’s opposition is predicated on an alleged
`
`partnership between Holy Spirits and STF. As noted in Holy Spirits’ Answer, Holy
`
`Spirits denies any partnership ever existed. A partnership was discussed – see Exhibit 9 –
`
`but no agreement was reached. In the subsequent breakdown in relations between the
`
`parties, STF filed the above-noted lawsuit seeking recovery of its expenses, an action
`
`consistent with its status as an independent contractor and inimical to a partnership. Even
`
`during the partnership discussions, Father Dom explicitly informed STF that he wished to
`
`retain ownership and control over the marks and the use thereof. See Exhibit 9. Since
`
`Holy Spirits (and its principal, Father Dom) exercised control over the use of the marks at
`
`all times, STF was merely a related company within the meaning of 15 U.S.C. §§1055
`
`and 1127, and any usage of the mark by STF inured to the benefit of Holy Spirits, the
`
`marks’ true owner.7
`
`
`6 Applicant Holy Spirits will shortly be filing its own Motion for Summary Judgment because STF’s
`opposition is barred by claim preclusion due to its prior lawsuit: STF Enterprises LLC v. Holy Spirits LLC
`et al., Milwaukee County Case Number 2012SC007587. See Exhibit 7. After suing Holy Spirits, STF
`then attempted to sue Father Dom -- Holy Spirits' principal -- personally, in STF Enterprises, LLC v.
`Father Domenic Roscioli, Milwaukee County Circuit Court Case Number 13SC010391. See Exhibit 10.
`The second suit was dismissed with prejudice due to claim preclusion. See Exhibit 11.
