`I. BACKGROUND
`
`Opposer fied a Notice of Opposition regarding United States Trademark Application
`
`Serial No. 78/652,456 for the mark "EPIC" for use on exercise equipment on or about October
`
`23, 2006, which was assigned Opposition No. 911735174. That same day, the Trademark Trial
`
`and Appeal Board ("the Board") of the United States Patent and Trademark Offce notified
`
`ICON IP that this Opposition had been filed by forwarding the Notice of Opposition to ICON IP
`
`along with a Scheduling Order. Subsequently, Opposer filed a First Amended Notice of
`
`Opposition on August 27, 2007, and ICON IP fied an Answer on September 11, 2007. The
`
`discovery period for this Opposition has closed, and Opposer's testimony period has
`
`commenced. To date, Opposer has not taken any depositions or filed any evidence with the
`
`Board.
`
`During the pendency of this Opposition, Opposer, on one hand, and ICON IP and its
`
`parent corporation ICON Health & Fitness, Inc. (ICON IP and ICON Health & Fitness, Inc. are
`
`collectively referred to herein as "ICON") on the other hand, have been negotiating terms of
`
`settement. At various times the parties were very close to settlement. Opposer, however,
`
`recently changed counsel and since that time has changed its position as to settement, including
`
`making a demand on September 9, 2009, that ICON cease distributing exercise bicycles under
`
`the mark EPIC. Subsequently, on September 11,2009, ICON Health & Fitness, Inc. fied a civil
`
`action against Opposer in the United States District Court for the District of Utah seeking a
`
`declaration of no trademark infrngement resulting from ICON Health & Fitness, Inc.'s use of
`
`the mark "EPIC", the very mark which is the subject of this Opposition proceeding, on exercise
`
`equipment sold by ICON Health & Fitness, Inc. Service of this Complaint is in process. A copy
`
`of the Summons and the Declaratory Judgment Complaint filed in the civil action are attached
`
`hereto as Exhibit A.

`II. ARGUMENT
`
`A. Suspension of this Opposition Proceeding is Proper Where a Civil
`Action Has Been Filed and Common Issues Wil Be Dispositive of the
`Present Proceeding
`
`The Board has the inherent power to stay this proceeding once it becomes aware that a
`
`civil action has been filed involving the same party or parties participating in an opposition
`
`proceeding. TBMP §510.0L. Further, "(pJroceedings before the Board may be suspended until
`
`termination of the civil action." 37 C.F.R. § 2.117; see also General Motors Corp. v. Cadilac
`
`Club Fashions, Inc., 22 u.S.P.Q.2d 1933, 1937 (TTAB 1992). "To the extent that a civil action
`
`in a Federal district court involves issues in common with those in a proceeding before the
`
`Board, the decision of the Federal district court is binding upon the Board, while the decision of
`
`the Board is not binding upon the court." TBMP § 510.02(a); see also Goya Foods, Inc., v
`
`Tropicana Products, Inc., 846 F.2d 848, 6 U.S.P.Q.2d 1950, 1954 (2nd Cir. 1988). Therefore,
`
`conservation of judicial resources and avoidance of waste necessitate suspension of the present
`
`proceeding until termination of the civil action between the parties.
`
`Both the present proceeding and the civil action involve common issues that wil be
`
`dispositive of the present proceeding before the Board. Opposer filed this Opposition asserting a
`
`likelihood of confusion with United States Registration No. 1,496,698 for EPIC(ß (the '698
`
`Registration) for goods in International Class 012 identified as "bicycles". In the civil action,
`
`ICON Health & Fitness, Inc. seeks a declaration that the mark EPIC (owned by its subsidiary
`
`ICON IP), which ICON Health & Fitness, Inc. uses on exercise equipment, does not infrnge
`
`Opposer's registration or common law rights in the mark EPIC(ß. The marks at issue in the civil
`
`action are the exact same marks involved in this proceeding.
`
`Accordingly, both the Opposition proceeding and the civil action involve a determination
`
`of similar issues, namely whether there is a likelihood of confusion between the Opposer's mark
`
`EPIC and ICON's mark EPIC, used on exercise equipment.

`Where a party or parties to a case pending before the Board are involved in a civil action
`
`that may be dispositive of the Board case, proceedings before the Board may be suspended until
`
`the civil action is resolved. ICON IP submits that there are common issues between the civil
`
`action in a Federal district court and the Opposition proceeding before the Board. Further, the
`
`decision of the Federal district court wil be binding upon the Board. Accordingly, it is proper
`
`for the Board to suspend this Opposition proceeding pending termination of the civil proceeding.
`
`B. The Board wil Ordinarily Suspend Proceedings in a Case Before the
`Board if the Final Determination of the Other Proceeding wil have a
`Bearing on the Issues Before the Board
`
`"Ordinarily, the Board wil suspend proceedings in the case before it if the final
`
`determination of
`
`the other proceeding wil have a bearing on the issues before the Board." TBMP
`
`§ 510.02(a); see also Other Telephone Co. v. Connecticut National Telephone Co., 181 U.S.P.Q.
`
`125, 127 (TTAB 1974), petition denied, 181 U.S.P.Q. 779 (Comm'r 1974). ICON Health &
`
`Fitness, Inc. seeks a judgment of no trademark infrngement in the civil action. A finding that
`
`ICON's mark EPIC used on exercise equipment does not infrnge Opposer's mark wil clearly
`
`affect the final determination ofthese proceedings.
`
`As a result, the critical issue of whether there is or is not a likelihood of confusion
`
`between the same marks involved in the Opposition, reveals that the final determination in the
`
`civil proceeding wil have a strong, if not controlling, bearing on the issues before the Board.
`
`Because the final determination of the civil proceeding wil have a more than significant bearing
`
`on the issues before the Board, suspension of this Opposition proceeding is proper.

`III. CONCLUSION
`
`ICON IP, therefore, respectfully moves that this Opposition proceeding be suspended
`
`pending the termination of the civil action brought by ICON Health & Fitness, Inc., ICON IP's
`
`parent corporation, against Opposer in the United States District Court for the District of Utah.
`
`Based on the foregoing, ICON IP respectfully submits that it is proper to suspend the present
`
`Opposition proceeding pending a decision by the Federal district court, and accordingly, ICON
`
`IP's Motion should be granted.

`Plaintiff ICON Health & Fitness, Inc. ("ICON") hereby complains against defendant

`Specialized Bicycle Components, Inc. ("Specialized"), and for a cause of action alleges as
`
`follows:

`1. Plaintiff ICON is a corporation duly organized and existing under the laws of
`
`the State of
`
`Delaware, with its principal place of
`
`business at 1500 South 1000 West, Logan,
`
`Utah 84321.

`2. Upon information and belief, Specialized is a corporation organized and
`
`existing under the laws of California with a principal place of business at 15130 Concord
`
`Circle, Morgan Hil, California 95037.
`
`JURISDICTION AND VENUE
`
`3. This is a declaratory judgment action brought by ICON pursuant to 28 US.C.
`
`§§ 2201 and 2202, seeking a declaration that ICON's use of its mark EPIC does not
`
`constitute trademark infringement. Specialized has raised a reasonable apprehension of the
`
`fiing of a lawsuit against ICON, resulting in the establishment of a case or controversy
`
`between the parties relating to ICON's use of the EPIC mark as set forth below.
`
`Accordingly, this action arises under the Lanham Act of 1946, as amended, 15 US.C. § 1052
`
`et seq. This Court has jurisdiction pursuant to the provisions of28 US.C. §§ 1331 and 1338
`
`(b) and (c), 2201, and 2202.
`
`4. Upon information and belief, Specialized has supplied and sold goods and/or
`
`services within the State of Utah. This Court's exercise of personal jurisdiction over
`
`Specialized is consistent with the Constitutions of the United States and the State of Utah.
`
`Therefore, this Court has personal jurisdiction over Specialized pursuant to the Utah Long
`
`Arm Statute, Utah Code Ann. § 78-27-24.
`
`5. Pursuant to 28 US.C. § 1391
`
`(c), Specialized is deemed to reside in this
`
`judicial district for purposes of
`
`venue.
`
`6. Venue is proper in this judicial district pursuant to, at least, 28 US.C. §
`
`1391(b)(1), and 28 US.C. § 1391
`
`(b)(2).
`
`FACTUAL BACKGROUND
`
`7. ICON manufactures and distributes various types of exercise devices and
`
`machines to customers in the United States, including the exercise machines sold under the
`
`mark EPIC. One of
`
`the products sold by ICON under the mark EPIC is a stationary bicycle.
`
`8. ICON IP, a subsidiary of ICON, is the owner of United States Trademark
`
`Application Serial No. 78/652,456 for the mark EPIC ("the '456 Application"), fied on June
`

`16, 2005. The goods identified in the '456 Application are "exercise machines" II
`
`International Class 028.
`
`9. ICON has used the EPIC mark since at least as early as 1991, on vanous
`
`exercise machines, including stationary bikes.
`
`10. Specialized is the owner of United States Registration No. 1,496,698 for
`
`EPIC(R (the '698 Registration), fied on December 28, 1987. The goods identified in the
`
`'698 Registration are "bicycles" in International Class 012.
`
`11. Upon information and belief, Specialized uses the mark in conjunction with
`
`sales, advertising and distribution of bicycles.
`
`CAUSE OF ACTION
`

`12. By this reference ICON realleges and incorporates the foregoing paragraphs 1
`
`through 11, as though fully set forth herein.

`13. ICON's use of the EPIC mark in connection with its exercise machines does

`not infringe any valid or protectable trademark rights owned by Specialized.
`
`PRAYER FOR RELIEF
`
`WHREFORE, ICON prays for judgment against Specialized as follows:
`
`A. For a finding that ICON's use of the mark EPIC for its exercise equipment
`
`does not constitute trademark infringement under 15 US.C. § 1114(1), 1125(a), or under the
`
`common law.
`
`B. For a preliminary and permanent injunction, under 15 US.C. § 11 16,
`
`restraining and enjoining Specialized, its agents, servants, employees, offcers and those
`
`persons in act of concert or participation with Specialized, from asserting that any action by
`
`or advertising of ICON using the EPIC marks with respect to its exercise machines infringes
`
`any protectable trademark rights owned by Specialized; and
