`THE PARTIES

`Plaintiff Random Ventures, LLC, a Michigan Limited Liability Company, was
`
`organized in the year 2000 and has its principal place of business at 1290 Durwood Ct.,
`
`Brighton, Michigan. Random Ventures conducts business under the assumed name “Xtrerne
`
`Scents.”
`

`Plaintiff develops, manufactures, advertises and distributes products for the
`
`outdoor recreational market, including hunting and fishing products. Among its products are
`
`scent eliminators and game lures for attracting deer, fish, and other game animals.
`

`Specifically, and as it pertains to this litigation, Plaintiff has developed,
`
`manufactures, advertises and distributes, inter alia, odorous materials, i.e. scents that are used by
`
`hunters to attract deer. Plaintiff’ s product uses the scent of food to lure the deer.
`

`Plaintiff has adopted and is using and has used since 2000 in interstate commerce
`
`the mark “Xtreme Scents” in connection with its deer lure.

`Since being organized in 2000 Plaintiff has continuously advertised and promoted
`
`its products under both its trademark and trade name “Xtrerne Scents” in interstate commerce.
`
`(See Exhibit “A”). Plaintiff also has expended considerable sums of money in advertising and
`
`promoting its products in connection with the trademark and trade name, and has created
`
`valuable goodwill under the trademark and trade name among the purchasing public.
`

`Plaintiff has sought Federal registration of its trademark “Xtreme Scents” and has
`
`received a Notice of Allowance from the United States Patent and Trademark Office. (Exhibit
`
`“B”). Thus, the Trademark Examiner has determined that Plaintiffs trademark is not
`
`confusingly similar to any other registered trademark including any trademark of Defendants.
`

`Defendant, Browning, Inc. (“Browning”), is, upon information and belief, a Utah
`
`corporation, having a principal place of business at One Browning Place, Morgan, Utah 84050,
`
`and is the exclusive licensee to the trade mark “Extreme Heat,” U.S. Trademark Reg. No.
`
`2,431,491 for deer urine and deer scent. (See Exhibit “C”).
`

`Defendant, Browning, upon information and belief, is only a distributor for the
`
`“Extreme Heat" products.
`

`
`As noted, Defendant Browning’s “Extreme Heat” product, which is involved in
`
`this matter, uses urine instead of food to lure the deer.
`
`14.
`
`Defendant, Ainsley is, upon information and belief, an individual residing in
`
`Ohio, who is the licensor of licensee Defendant Browning, and is a necessary party to this
`
`litigation.
`

`
`On or about September 8, 2003 Defendants accused Plaintiff, in writing, of
`
`trademark infringement alleging a likelihood of confusion between-Defendants’ mark, “Extreme
`
`Heat” and Plaintiff’ s trademark, “Xtrerne Scents.” (Exhibit “D”).

`Defendants have demanded that Plaintiff cease and desist from all use of its mark,

`and withdraw its trademark application.
`

`Defendant’s accusations have given rise to an actual controversy between the
`
`parties.
`
`COUNT I--DECLARATION OF NON-INFRINGEMENT
`

`Plaintiff re-alleges the preceding paragraphs as if set forth in full herein.
`

`Defendant’s mark “Extreme Heat” is weak, and has not become distinctive of
`
`Defendant’s products because the mark has not been in use for more than five years, since the
`
`date of registration, and is not incontestable under 15 U.S.C. § 11l5(b)(l).
`

`
`The w_ord “Extreme,” constituting part of the Defendants’ mark, renders the mark
`
`inherently weak because the word “Extreme” is a laudatory term. Furthermore, the word
`
`“Extreme” is widely used by third parties selling goods in the same class as those of Plaintiff and
`
`Defendants.

`Plaintiff’ s use of its trademark “Xtreme Scents” is not in violation of any rights
`
`Defendant might have pursuant to 15 U.S.C. § 1114(1).
`

`Defendants’ threats and allegations have caused, and are causing, threatened
`
`irreparable injury to Plaintiff which if not enjoined, both preliminarily and permanently, will
`
`inflict irreparable harm that cannot adequately be compensated through monetary damages.
`

`Plaintiff has no adequate remedy at law.
`

`As a consequence of Defendants’ threats and allegations, and the uncertainty
`
`created thereby, Plaintiff is entitled to a declaratory judgment of its rights under 28 U.S.C. §

`WHEREFORE, Plaintiff requests that this Court enter declaratory judgment in Plaintiffs

`Browning is the exclusive licensee of U.S. Tradcrnark Registration No.
`2,431,491 covering the EXTREME HEAT mark for "deer urine and deer scent
`for use by hunters." A copy of the registration certificate is enclosed for your
`informationand file. For years, the EXTREME HEAT mark has been used by
`Doc's Deer Farm an Scents for its deer urine and deer scents.

`the established EXTREME HEAT mark, your client has prominently displayed
`a buck whitetail antler design immediately above the XTREME SCENT3 mark-
`This designation is nearly identical to the antlcred buck head used above the
`EXTREME HEAT mark. For your information, a copy of some ‘EXTREME
`I-IEAT product packaging is enclosed. The similarity of the marks and the
`designs used in connection with the respective marks is striking: and 5-“E8653
`copying on the part of Random.
`As you may know, evidence of actual consumer confusion is not required
`to establish a likelihood of confusion. In this particular case, however, we have
`evidence of actual confusion in the marketplace. To be sure, Gander Mountain,
`21 retail outlet
`through which the EXTREME HEAT product
`is sold, has
`expressed confusion concerning receipt of the new XTREME SCENTS products
`by Random. This actual confusion is strong evidence that customers are likely
`to be confused.
`
`We further note that Random is improperly marking its XTREME
`SCENTS designation with the “®.” This constitutes false marking and may
`give rise to liability under the Lanhazn Act for false advertising.
`
`Browning wishes to resolve this matter amicably. Nevertheless, given
`the clear infringement, Browning must demand that Random immediately cease
`and desist from further uses of XTREME SCENTS.
`If your client chooses to
`continue with its use of XTREMIE SCENTS, Browning will take whatever steps
`are necessary to abate the infringing activities.

`To resolve this matter short of litigation, Browning will require the
`following within ten (10) days from the date of this letter:
`
`A written statement from Random indicating its willingness to

`Duty to Avoid Unnecessary Costs of Service of Summons
`
`Rule 4 of the Federal Rules of Civil Procedure requires certain parties to cooperate in saving
`unnecessary costs of service of the summons and complaint. A defendant located in the United States
`who, after being notified of an action and asked by a plaintiff located. in the united States to waive service
`of a summons, fails to do so will be required to bear the cost of such service unless good cause be shown
`for its failure to sign and return the waiver.

`It is not good cause for a failure to waive service that a party believes that the complaint is
`unfounded, or that the action has been brought in an improper place or in a court that lacks jurisdiction
`over the subject matter of the action or over its person or property. A party who waives service of the
