`WHEREAS, MDxHealth S.A.. having its principal office at CAP Business Center, Rue

`d’Abhooz, 31, B-4040 Herstal, Belgium, hereinafler referred lo as “ASSIGNOR,”is the sole and

`exclusive owner, by assignment, ofall rights, tile, and interests in and to the patents (“Patents”)
`
`and patent applications (“Applications”) shown on the attached Exhibit 1; and

`WHEREAS, Exact Sciences Corporation, having its principal office at 44] Charmany

`Drive, Madison, WI 53719, hereinafter referred to as “ASSIGNEE,” is desirous ofacquiring the

`Assignor’s entire right, title and interest in said granted patents:

`NOW THEREFORE,be it known that effective April 25, 2017, for good and valuable
`
`consideration, the receipt and sufficiency of which is acknowledged, Assignor herebysells,
`
`assigns, and transfers to Assignee, its successors, legal representatives and assigns, its entire
`
`right, title and interest in and to:
`
`the Applications and the Patents; any divisions, continuations,
`
`and continuations-in-part of the Applications and any other application claiming priority rights
`
`from any of the Applications; any reissues, reexaminations, or extensions of any and all Patents;
`
`the right to fle foreign applications directly in the name of Assignee; and the right to claim
`
`priority rights deriving from any of the Applications (collectively, the "Rights"}. Assignor
`
`warrants that it is the sole ownerof the Rights, and that its Rights are unencumbered. Assignor
`
`also agrees to not sign any writing or do anyact conflicting with this assignment, and signall
`
`documents, without further compensation, and do such additional acts as Assignee deems
`
`necessary or desirable to: perfect Assignec's enjoyment of the Rights; prepare and prosecute the
`
`Applications or any other applications for Patents; conduct proceedings regarding the Rights,
`
`inchiding any INigation or interference proceedings; or perfect or defend title io the Rights; the
`
`costs of each of which shall be borne by Assignee.
