`countries on such improvements; and specifically including the right

`applications under the provisions of any convention or treaty and claim priority based on
`such application in the United States;

`AUTHORIZE AND REQUESTthe issuing authority to issue any and all United
`States and foreign patents granted on such improvements to the Assignee;

`WARRANT AND COVENANTthat no assignment, grant, mortgage, license or
`other agreementaffecting the rights and property herein conveyed has been or will be made
`to others by the undersigned, and that the full right to convey the same as herein expressed
`is possessed by the undersigned;

`COVENANTthat, when requested and at the expense of the Assignee, to carry out
`in good faith the intent and purpose of this assignment, the undersigned will execute all

`On October 19, 2006, the case was converted to a Chapter 7 bankruptcy; and

`WHEREAS, RANDOLPH N. OSHEROW, of 342 West Woodlawn, Suite 300, San
`Antonio, Texas 78212, was appointed Trustee on October 23, 2005, which appointment was filed
`with the Clerk of the Bankruptcy Court for the Western District-of Texas, Austin Division, and is
`now the duly appointed, qualified, and acting Trustee of the bankruptcy estate created by the filing
`of the aforesaid case, which bankruptcy estate included the property described below; and

`WHEREAS,all notices, hearings, procedures, and proceedings necessary as a condition
`precedent to the issuance of this instrument have been duly given, held, and concluded, and by
`virtue thereof the undersigned Trustee is fully empowered and authorized to make the conveyance
`described herein pursuant to Order Approving Trustee’s Amended Motion to Sell Personal Property
`of Debtor Free and Clear of all Liens and Interests (Including 20-Day Language), signed by Frank R.

`WHEREAS, MEETRIX, INC., filed a Chapter 11 petition in bankruptcy on Aime 1, 2005.
`On October 19, 2006, the case was converted to a Chapter 7 bankruptcy, and

`WHEREAS, RANDOLPH N. OSHEROW, of 342 West Woodlawn, Suite 300, San
`Antonio, Texas 78212, was appointed Trustee on October 23, 2005, which appointment was filed
`with the Clerk of the Bankruptcy Court for the Western District of Texas, Austin Division, and is
`now the duly appointed, qualified, and acting Trustee of the bankruptcy estate created by the filing
`of the aforesaid case, which bankruptcy estate included the property described below; and
`
`WHEREAS,all notices, hearings, procedures, and proceedings necessary as a condition
`precedent to the issuance of this instrument have been duly given, held, and concluded, and by
`virtue thereof the undersigned Trustee is fully empowered and authorized to make the conveyance
`described herein pursuant to Order Approving Trustee’s Amended Motion to Sell Personal Property
`of Debtor Free and Clear of all Liens and Interests (including 20-Day Language), signed by Frank R.
`Monroe on June 5, 2007 (a copy of which is attached hereto as Exhibit “A”);

`NOW, THEREFORE, in consideration of the sum of FIFTEEN THOUSAND & NO/100
`DOLLARS ($15,000.00) cash paid to the Trustee, and other good and valuable consideration paid
`by Great West Capital, LLC, a California limited Hability company, the receipt and sufficiency of
`which is hereby acknowledged, the undersigned Trustee of the estate of MEETRIX, INC., (05-
`13133-FRM)} has BARGAINED, SOLD, and DELIVERED, and by these presents does
`"BARGAIN,SELL, and DELIVERunto Great West Capital, LLC as the successor in interest, all of
`his right, title, and interest in the Debtor's personal property described as information relating to:

`a. Software (object and source code), computers and servers;
`b.
`Intellectual property -- patent and trademark filings;
`c, Business plans, executive summaries and other presentation materials (printed
`and electronic copies;
`Marketing materials, brochures and similar type items;
`Customer lists of Meetrix at the time of filing bankruptcy;
`Prospective customer lists;
`Copies of license agreements with vendors;
`Technical specifications of the Meetrix system: and
`Any other relevant business and technical information relating io the business of
`Meetrix,

`The property conveyed hereby has been purchased by Buyer “AS IS” and WITH ALL
`PAULTS and RANDOLPH N. OSHEROW does not in any way warrant the merchantability of the
`goods sold hereby; there are no warranties which extend beyond the description on the face hereof
`and no warranties of any kind are to be implied in this transaction.

`representations, guarantees or warranties made herein are made solely in the capacity as Trustee for
