`SECOND AMENDMENT TO PATENT SECURITY AGREEMENT
`
`to that certain Patent Security
`THIS SECOND AMENDMENT ("Amendment")
`Agreementdated as of September 8, 2020 (the "Patent Security Agreement"), among Pilot Inc., a
`California corporation (referred to herein as "Grantor" or "Grantors"), and WINGSPIRE
`CAPITAL LLC, as Administrative Agent (in such capacity, the "Administrative Agent") is dated
`as of July 11, 2022.
`
`Reference is madeto (a) that certain Credit Agreement, dated as of September8, 2020, by
`and among PILOT-NGC HOLDING,INC., a Delaware corporation ("Holdings"), PILOT INC., a
`California corporation (the "Borrower-Pilot"), WANG'S INTERNATIONAL, INCORPORATED,
`a California corporation (the "Borrower-Wangs"), the other Subsidiaries (if any) of Holdings from
`time to time party thereto as "Borrowers" (together with Borrower-Pilot and Borrower-Wangs,
`each, a "Borrower" andindividually and collectively, jointly and severally, the "Borrowers"), the
`Subsidiaries (if any) of Holdings from time to time party thereto as "Guarantors" (together with
`Holdings, each, a "Guarantor" and collectively, the "Guarantors"), the lenders from time to time
`party thereto as lenders (each, a "Lender"and, collectively, the "Lenders"), and the Administrative
`Agent(as the same may be amended,restated, supplemented, or otherwise modified from time to
`time, the "Credit Agreement"), and (b) that certain Pledge and Security Agreement, dated as of
`September 8, 2020, by and among Holdings, Borrower-Pilot, Borrower-Wangs,
`the other
`Subsidiaries (if any) of Holdings from time to time party thereto as "Grantors" and the
`Administrative Agent (as the same may be amended,restated, supplemented or otherwise modified
`from time to time, the "Security Agreement").
`
`The Lenders have agreed to extend credit to the Borrowers subject to the terms and
`conditions set forth in the Credit Agreement, the Guarantors have guaranteed Obligations and the
`Grantors have secured their obligations pursuant to the Security Agreement. The obligations of
`the Lenders to extend such credit are conditioned upon, among other things, the execution and
`delivery of this Amendment.
`
`In the furtherance of the foregoing, Grantor entered into the Patent Security Agreement.
`Since the date of Grantor's execution of the Patent Security Agreement. Grantor has acquired
`interest in additional Patents (the "New Patents"). In accordance with the Security Agreement the
`parties agree to amend the Patent Security Agreement to confirm the inclusion of such New
`Patents.
`
`Accordingly, the parties hereto agree to amend the Patent Security Agreementas follows:
`
`Schedules. Schedule I to the Patent Security Agreement shall be deemedto refer to

`Schedule I as amended by the addition of the New Patent schedules on Schedule I attached hereto.
`
`Effect of Amendment. Except as expressly amended by this Amendmentthe terms

`of the Patent Security Agreementshall remain in full force and effect as executed.

`Counterparts. This Amendment may be executed in counterparts (and by different

`parties hereto in different counterparts), each of which shall constitute an original, but all of which

`Notice of Allowability (“Notice”) having a mailing date of September 24, 2021.

`In the Notice, the Examiner’s stated reasons for allowance werethat:

`Claims 7 — 30 are allowed becausethe prior art does not teach orfairly
`suggest the following subject matter:
`
`e A charger comprising: a microcontroller; a battery connected to a
`voltage regulator, the battery capable of supplying power, via the
`voltage regulator, to the microcontroller, the battery also capable
`supplying powerto an automobile battery when the battery has a
`predetermined voltage; aload detector circuit, connected to the
`microcontroller, to detect when the charger is correctly connected to
`the automobile battery, and the microcontroller generating an output
`signal, when the charger is correctly connected the automobile
`battery, and switching circuitry, including a least one switch, to
`operatively connect the battery to the automobile battery when the
`microcontroller generates the output signal to supply a chargeto the
`automobile battery as recited in independent Claim 1.
