`WHEREAS, Realtime Data LLC, a New Vork limited lability company, having a place
`of business at
`66 Palmer Avenue, Suite 27, Bronxville, New York 10708 (hereinafter,
`“Assignor”), is the sole and exclusive owner of the entire right, title and interest for the Umited
`States and all foreign countries, for any and all improvernents whichare disclosed im the applications
`for United States Letiers Patent as provided in Schedule A, and for said applications and all
`divisional, continuing, substitute, renewal, reissue and all other applications for Letters Patent which
`have been or shall be filed in the United States or foreign countries on said improvements (the
`“Patent Rights”);
`
`WHEREAS, Realtime Adaptive Streaming LIC, e Texas limited Rabllity company,
`having a place of business at 1828 ESE Loop 323, Tyler, Texas 75701 (hereinafter, “Assignee”),
`desires to acquire the full and exclusive right for the Patent Rights and al! documents and things
`relating fo the conception, reduction to practice and/or practice ofthe Patent Rights (the “Related
`Decuments’} and the entire right, tile and interest im and to said Patent Rights meluding, without
`limitation, patents, applications, divisions, continuations, substitutions, renewals, re-examination,
`extension and reissues thereof, ulility models, inventor’s certificates, and designs together with the
`right to file applications therefor; and including the right to claim the same prionty rights, including
`fisiure inventions or imaprovements, from any previously filed applications under the International
`Agreement for the Protectionof Industrial property, or other international agreement, or the domestic
`laws of the country in which any such application is filed, as may be applicable;

`NOW, THEREFORE, in consideration of the sum of Ten US. Dollars (216 USTH, the receipt
`whereof is hereby acknowledged, and other good and valuable consideration,
`the receipt and
`sufficiency of which are hereby acknowledged, Assignor herebysells, assigns, and transfers to
`Assignee, iis successors and assigns, fully and forever, Assignor's entire right, tile, and mterest in
`and to the Patent Rights and Related Documents in the United States and is territorial possessions
`and in all foreign countries and the entire right, title and interest, including theright to sue for past
`infringement, and to collect for all past, present and future damages if any, and all rights pursuant to
`35 ULS.C. $154, im and to anyand all Letters Patent which may be granted therefor in the United
`States and its territorial possession and in any and all foreign countries and in and to amy and all
`divisions, continuations, substitutions, renewals, re-examination, extension and reissues thereof, and
`anyother applications claiming priority thereto, including future inventions or improvements.

`in farther good and valuable consideration, the receipt and sufficiency of which are hereby
`acknowledged, Assignor hereby agrees that (2) Assignee may apply for and receive Letters Patent
`for said improvements in its own name; (if) when requested, without charge to but at the expense of
`said Assignes, its successors, assigns and legal representatives, to carry out in good faith the intent
`and purpose of this assignment, Assignor will execute all divisional, continuing, substitute, renewal,
`reissue, and all other patent application on any and said improvements, execute all rightful oaths,
`assignments, powers of attomey and other papers, commumicate to said Assignes, ils successors,
`assigns and legal representatives, all facts known to Assignor relating to said improvements and the
`history thereof, and generally do everything possible which said Assignee, its successors, assigns oF
`legal representatives shall consider desirable for aiding in securing and maintaming proper patent
`protection for said improvements and for vesting title to said improvements and all applications for
`patents and all patents on said improvements, in said Assignee, its successors, assigns and legal
`representatives; and (i) covenants with said Assignee,
`its successors, assigns and iegal
`representatives that no assignment, grant, mortgage, license or other agreement affecting the rights
`and property herein conveyed has been made to others by Assignor, and that full nght to conveythe
`samie as herein expressed is possessed by Assignor.

`Assignor agrees to execute all papers necessary in connection with the applications and
`Letters Patents as above, and any non-provisional, continuing (continuation, divisional, or
`continuation-in-part), reissue, reexamination or corresponding applications thereof and also to
`execule separaic assignments in connection with such applications as the Assignee may deem
`necessary or expedient;
`
`Assignor agrees to executs all papers necessary in connection with any interference or patent
`enforcement action (judicial or otherwise} related to the applications or Letters Patemis or any nan-
`provisional, continuing (continuation, divisional, or continaation-in-part}, reissue or reexarmination
`application therefor and to cooperate with the Assignee at Assignee’s expense im every reasonable
`way possibic in obtaining evidence and going forward with such interference or patent enforcement
`act;
`
`Assignor agrees to performall affirmative acts at Assignee’s request and expense that may
`be necessary to obtain or ensure a grant of a valid patent to the Assignee;
`
`Assignor hereby represents thai Assignor has fall right and authority to convey the entire
`interest herein assigned, and that Assignor has not executed, and will not execute, any agreement in
`conflict therewith, and
`
`Assignor hereby authorizes and requests the Patent Office Officials in the United States and
`tis territorial possessions and in any and all foreign countries to issue any and all of said Letters
`Patent, when granted, to said Assignee as the assignee of the entire right, title and interest im and to
`the same, for the sole use and behalfof said Assignee and said Assignee’s successors and assigns,
`to the full ond ofthe term for which said Letters Patent may be granted, as fully and entirely as the
`same would have been held by Assignor had this assignment and sale not been made.

`IN WEPNESS WHEREOP, the Parties hereto have signed this Agreement by their duly
`authorized representatives as of Marek 7, 2817 (“Effective Bate’).
