`Power of Attorney
`(To Novartis IP colleagues based in AT, CN, DE, IN, SI, SG, US)
`
`By this Power of Attorney, effective 01 January 2017, Novartis AG, a company
`incorporated under the laws of Switzerland and having its principal place of business at
`Lichtstrasse 35, 4056 Basel, Switzerland ("the Company"), hereby grants to the Novartis
`Group Companies listed below ("the Corporate Signatories"):
`
`a) the revocable authority to sign documents on behalf of the Company in
`connection with filing, prosecution, maintenance, and administration of any
`intellectual property right
`for copyright, design, domain name, patent,
`supplementary protection certificate (SPC) and trademark registration or any
`application therefore standing in the name of the Company ("IP");
`
`b) the revocable authority to sign documents on behalf of the Company in
`connection with litigation relating to defense of IP before a governmental
`authority; and
`
`c) the revocable authority to sign Confirmatory Assignments on behalf of the
`Company. "Confirmatory Assignments" are agreements between the Company
`and a third party or a Novartis Group entity that do not create new rights or
`obligations for the Company, such rights having been created by an underlying
`agreement (e.g. acquisition/divestment agreement, research funding/collaboration
`agreement, and the like) and whereby the Confirmatory Assignment merely
`executes the transfer of IP as agreed in such underlying agreement;
`
`and for no other purposes.
`
`This Power of Attorney excludes the power to conclude contracts, other than
`Confirmatory Assignments, or to enter into settlements on behalf of the Company.
`The
`terms
`"contracts"
`and
`"settlements"
`include
`license
`agreements,
`acquisition/divestment agreements, assignments, prior right agreements and/or letters of
`consent.
`
`This Power of Attorney includes the power to appoint external agents within the scope of
`this Power of Attorney.
`
`To be legally binding upon the Company, all relevant documents require the signature of
`two employees of one or more of the Corporate Signatories as set out below ("Personal
`Signatories") who are authorized to sign for their respective Corporate Signatory, except
`where a single Personal Signatory is permitted according to the Novartis internal
`"Intellectual Property Signature Guidelines".
