`WHEREAS, Toyota Motor Engineering & Manufacturing North America, inc” a corporation

`organized under and pursuant to the laws of Kentucky having its principal place ofhusiness at 25 Atlantic

`Avenue; lirlanger, Kentucky 410l8 (hereinafter referred to as Assignor), is a joint owner, by assignment,
`
`ofthe Letter Patent listed in Schedule A; and
`
`WHEREAS, Toyota Motor Corporation, a Corporation organized under and pursuant to the
`
`laws ofJapan having its principal place of business at l "1"oyota-Cho, 'l‘oyota Aichi, 471—8571, JAPAN

`(hereinafter referred to as Assignee), is desirous of acquiring the right, title and interest in, to and under said

`Letter Patent and the invention covered thereby;

`is hereby acknowledged, the said Assignor has sold, assigned, transferred and set over, and does hereby sell,
