`TO APPROVE AND AUTHORIZE THE EXECUTION OF DOCUMENTS RELATE TO
`INTELLECTUAL PROPERTY PROJECT AND RELATED MATTERS
`
`WHEREAS, the Saint Regis Mohawk Tribal Council (the “Tribal Council”) is the duly recognized
`governing body of the Saint Regis Mohawk Tribe (the “Tribe”), a federally recognized Indian Tribe, and is
`responsible for the health, safety, education, and welfare of all community members; and
`
`WHEREAS, from time to time, the Tribe receives and reviews potential business opportunities with
`respect to new business development; and
`
`WHEREAS, the Tribe is exploring the development of a technology and innovation center for the
`commercialization of existing and emerging technologies; and
`
`WHEREAS, the Tribe has been approached by the law firm Shore Chan DePumpo LLP, a boutique
`intellectual property law firm with nationally recognized expertise, to engage in new business activities
`related to existing and emerging technologies, which may include the purchase and enforcement of
`intellectual property rights, known as the “Intellectual Property Project”, and ofwhich Shore Chan DePumpo
`LLP has expertise; and
`
`WHEREAS, the Tribe is reviewing its options to implement and manage the Intellectual Property
`Project, including policy development and business process development; and
`
`WHEREAS, the purpose ofthe Intellectual Property Project is to promote the growth and prosperity
`of the Tribe, the economic development of the Tribe, and to promote furthering the wellbeing of the Tribe
`and its members; and
`
`WHEREAS, the Tribal Council wishes to authorize and approve an engagement with the Shore Chan
`DePumpo LLP law firm to assist with the development of the Intellectual Property Project;
`
`NOW, THEREFORE, BE IT RESOLVED:
`
`
`
`The Saint Regis Mohawk Tribal Council hereby determines and finds that (a) the Recitals in this
`l.
`Resolution are true and correct in all material respects; (b) the Tribal Council is the duly elected and
`governing body of the Tribe, with full power and authority to adopt this Resolution pursuant to the Saint
`Regis Mohawk Tribal Council and Council Procedures Act of 2013, and (c) the execution, delivery and
`performance by the Tribe of the Intellectual Property Project and the transactions contemplated thereby are
`in the best interest of the Tribe and its members; and
`
