`Is generic drug giant Mylan N.V. based in Canonsburg or abroad?

`The answer could affect the Teva Pharmaceutical Industries Ltd. $40 billion hostile
`takeover bid for Mylan, which relocated its corporate headquarters to the Netherlands in
`February while continuing to operate its principle offices in Southpointe, Washington County.
`About 700 Mylan employees work at Southpointe.
`
`Now, Mylan is asking the Federal Trade Commission for a determination on whether the
`company is a U.S. issuer, which could thwart Teva’s efforts to acquire Mylan.
`
`In a statement Monday, Teva (NYSE: TEVA) said it was confident its Mylan stock purchases
`complied with provisions of the Hart Scott Rodino Act, which regulates big mergers and
`acquisitions before they occur. But in an interview with Bloomberg, CEO Heather Bresch
`questioned whether the FTC had changed its position on the corporate domicile issue.

`“If we are a U.S. issuer, it's illegal for Teva to buy shares without Hart Scott Rodino clearance,”
`Bresch told Bloomberg. “We think the public deserves to know if the FTC has changed its long-
`standing policy.”
`
`FTC officials declined to comment Monday. Teva has acquired a 4.61 percent stake in Mylan
`(Nasdaq: MYL), giving Jerusalem-based Teva court standing to challenge My|an’s Dutch poison
`pill defense against a hostile takeover.
`
`Bresch accused the Fl'C of refusing to acknowledge Mylan as a U.S. issuer because of political
`fallout from its inversion deal, completed in February, when the company re-incorporated in the
`Netherlands. In announcing the deal, Mylan said in a prepared statement that the “new public
`company will be called Mylan N.V. and will be led by the current Mylan leadership team and
`headquartered in Pittsburgh.”
