`THIS PATENT ASSIGNMENT ACREBMENT (the "Agroement"), is mado and entorod into
`this !lg1[lay of Decembet, 2012 (the "Effective Da!e"), by and between PTE Bxchange, LLC' a
`limited liability company organized under the laws of Toxas having offices at 2500 Dallas
`Patkway, Suite 260, Plano Texas, ?5093 ("Assignor") and Tieua Intelectual Borinqueo, Irc., a

`402, Sau Juan, Puerto Rico 0090? ("Assignee") (each a "Party" and collectively the 'Parties").

`WHERIAS, Assignor is the owner of all rights, title and interest in and to the invenfions (the
`"Inventions") as describsd and claimed in the United States and loreign patents and pat€nt
`application as listed on Schedule A (United States pstent properties) snd Schedule B (forcign
`pat€nt prcperties) hereto (collectively the "Patents");

`WHBREAS, Assignor and Assignee have ageed by B Fsient Purchase Agreernent (the "Purchase
`Agreement") dated December 21, 2012, by and between Assignor and Assignee, the isrms of
`which are incorporated herein by referenoo, that Assignor shall sell, transfer, assign and set ovet
`unto Assignee and Assignee ohall accept, all rights, titte and interest in and to the Patents as
`specifled in this Agreement;
`NOW, THEREFORE, i coflsidetatioD of the mutual covenants and agreements of the Parties
`and pursuani to th€ Purohase Agrcement, and for other good and valuable considemtion, the
`receipt and sufficiency of which are horeby aclinowledged, it is hereby agreod as follows:

`patsnt laws of the United States, the Intemetional Convention for fte Protection of Industrial
