`
`Section 1 "'"'Executive Summary
`
`Overview
`
`Enfish Technology, Inc. through its core technology platform offers the best available solution
`for automatically organizing and finding all available data relevant to its users. Through its
`patented "Dex" technology, Enfish offers a Personal Knowledge Management (PKM) platform
`that is the only system that automatically
`
`~ Analyzes an individual user's desktop activity and information to determine what is
`important to each user
`~ Uses this analysis to identify, present and link to relevant data from disparate sources
`~ Organizes, integrates and cross· references by subject, information from disparate sources
`bridging the desktop (files, contacts and email), corporate portal and web sources
`
`Enfish Onespace uniquely creates a "live-in workspace," which automatically organizes a user's
`personal e-mail, contacts, documents, and other files (including those on a company's network) ..
`and connects the user through its backend portal to relevant information and services from the
`Web and a company's intranet.
`
`Since launching the Enfish Ortespace user platform in May 2000, the Company has registered
`over 75,000 user downloads and received numerous glowing product reviews from Fast
`Company, ZD NET, PC Magazine and others. In addition, the Company has recently concluded
`a co-branded distribution agreement with Franklin Covey to begin offering a special co-branded
`version of Enfish Onespace that integrates with the Franklin Covey planning system and web
`content, commencing March, 2001. Through these agreements, Franklin Covey will directly
`market this solution through all its distribution channels to the enterprise, small and medium(cid:173)
`sized businesses (SMEs) and individual business professionals. Franklin Covey is a public
`company with annual revenues exceeding $600 million derived from its 150 retail stores, direct
`mail catalogs reaching 10 million potential customers each year, web sites, extensive corporate
`training programs (training over 500,000 people each year), and a direct sales force of over 150
`professionals and 3000 trained consultants.
`
`Utilizing its core technology, n1anagement has also identified two other substantial markets:
`
`~ A dedicated Knowledge Management ASP for small and medium sized business
`~ A valuable extension of existing Customer Relationship Management and Knowledge
`Management solutions
`
`To date, the Company has h~ld substantive talks with several potential partners (including leading
`enterprise CRM/KM solutions companies) to partner to develop these market opportunities.
`
`Enfish is also a founding member oflntel's Peer to Peer working group and is currently extending
`the Enfish user platform to include Peer to Peer capabilities that are unique in the marketplace.
`
`Going forward, both management and its potential partners are excited about Enfish product
`opportunities that potentially span all platforms from desktop, to web, to PDA and other wireless
`applications. Ultimately, having "Enfish Everywhere" will offer users a trusted, ubiquitous,
`integrated, secure environment for all the information and e-services they need.

`
`Validating a Strong Market Need
`
`A study completed by the Giga Information Gronp entitled "A Total Economic Impact Analysis
`of Constant Computing" noted that "Knowledge and Information Management Agents such as
`those available from Enfish can easily increase user productivity by over $100 per month."
`Additionally, Intel Corporation, a strategic investor in the Company, engaged an independent
`consultant to conduct an internal pilot study using the initial release of Enfish Onespace as a
`personal knowledge management tool. The results of this study found that participants reported
`both time savings (10-30% overall) and improvements in the quality of their work (as high as
`30% overall). In time-trials, people using Enfish Onespace performed the same actions up to
`eight times faster than using existing Office tools. As information continues to explode,
`management believes Enfish stands as a critical technology tool to effectively manage data from
`disparate sources.

`
`Core Technology
`
`As detailed in greater depth in Section 3, Enfish core products and unique value is driven by its
`core technology that offers very unique functionality. These primary functional components
`include:
`
`~ Enfish User Platform - orientation at the desktop provides unique organizing and
`finding capabilities

`
`~ Enfish Portal - offers information from Internet partners or any other information source
`~ "Dex" technology -
`the proprietary indexing technology drives Enfish' organizing
`capabilities
`
`In addition, the Company plans to develop prior to the end of the year two significant components
`that will significantly enhance the current product and help develop other product opportunities
`such as the ASP and CRM/KM add-on solutions. Major functionality developments include:
`
`~ Peer to Peer- enable users to set-up flexible work groups to share relevant data
`~ Distributed "Dex" - provides similar technology at the server level as "Dex" but enables
`for comprehensive automated archiving and data back-up
`
`(See Section 3 for additional description of the solution).
`
`Benefits of Enfish Technology
`
`This makes Enfish's competitive edge very clear. It is based on the fact the product;
`~ Is personal; pulling together what is important to the user
`
`~ Automatically groups related information and gives the user one place to work, bridging
`the Internet, the desktop and corporate data
`
`~ Provides a secure, private channel for communication and knowledge management that
`the Company makes available to its partners, unlike any that exists in the marketplace
`today.
`
`Competitive Advantages
`
`Further, since Enfish is on the desktop, and has the technology to find and group related
`information, the Company can be best of breed by providing:
`
`~ Fastest way to find the data most relevant to each user -by enabling users to access data
`within seconds, automatically alerting users of all relevant data and reducing the amount
`of information to review as part of any search for information. Simply, Enfish does the
`best job of providing the right data at the right time
`
`~ Quick Set-up and continual automatic updating - as Enfish can be installed with a
`simple download for the personal version and once downloaded handles all organization
`automatically, adjusting to all new information accessed by the user
`
`~ Automatic Archiving - will be available to ASP users with the soon to be developed
`distributed "Dex" technology. This enables all of a Company's or individual information
`can be automatically archived and backed up as well as uploaded to any corporate portal
`or CRM application. This automated feature has garnered significant interest by
`industry players
`
`~ Provides flexible customization and access to multiple data sources- as Enfish easily
`integrates disparate corporate and partner data sources and t>-business services. Enfish
`plans to introduce a custom toolkit that will enable partners to quickly customize the

`
`Enfish user platform and integrate with any desired data source without the need for
`custom development work by Enfish
`
`Enfish Products
`
`To harness these technology benefits, management has identified three major products and
`marketing channels. (See Section 4 for additional discussion regarding each of these products.)
`
`Enfish Onespace User Platform- Enfish has been distributing its Onespace solution to
`individuals through free downloads. This software has already registered 75,000 free downloads.
`Free download distribution will cease on March 1, 2001, when the Company initiates a partnering
`strategy with select distributors to offer private label solutions to individual consumers. This
`solution will offer all the advantages of the Enfish user platform (See Section 3) and will be
`integrated with all client specific data sources. As an example, management is set to launch its
`first product through Franklin Covey in March 2001 and will integrate with Cbvey's personal
`management and leadership content. Franklin Covey will market the product through its
`dedicated sales representatives.
`
`A val11e added extension to existing CRMIKM solution - Management also utilized its core
`technology to license/partner with leading Corporate Portals/Knowledge Management and CRM
`companies and their Fortune 5000 clients. The advantage for these companies is that the rich
`Enfish client is a smart, more user-friendly front end for portals that integrates users' personal
`(desktop) information. Management has already been approached by leading CRM/KM
`companies to provide this solution both on an exclusive and non-exclusive basis. Benefits that
`attracted other users center on Enfish' ability to:
`
`)- Build on the benefits of the client product
`)- Make the corporate portal seamless to the user
`)- Provide a way to automatically replicates data to the central data repository
`)-
`Integrate value added Peer to Peer within the application
`
`Application Service Provider - Enfish plans to offer in June 2001 an ASP based Knowledge
`Management Solution for small to medium sized business (SMEs). Enfish will offer a toolkit to
`customize the user platform to integrate with specific data sources and content and e-business
`services for different companies and needs of vertical segments of the market. These additional
`services provided by the ASP include:
`
`)- Distributed "Dex" technology - provides similar automated indexing done on the
`individual PC to be done at the company's server to significantly increase the
`organization wide effectiveness of organizing available information for users
`)- Automatic Archiving and Storage Back up - utilizing the distributed "Dex" Enfish'
`ASP will also provide automatic archiving and backup as part of its solution. This can be
`offered because of the "Dex" capabilities at the server level.
`)- Robust Peer to Peer Capabilities - this service will enable users to setup unlimited
`number of work groups to share and collaborate on data for projects.
`
`Industry
`
`As discussed further in Section 5, management believes significant opportunities exist in all its
`target markets. Collectively, these immediate markets include;

`
`~ Personal Knowledge Management- These users represent a segment of the market that
`frequently adopts new technology that improves the efficiency and quality of their
`business and personal lives. According to Gartner and IDC reports, this is a rapidly
`growing market currently estimated to be 40 million individuals in the United States
`alone.
`
`~ Customer Relationship Management and Knowledge Management - The combined
`sizes of these markets is expected to reach almost $30 billion by 2004 according to IDC
`and Gartner.
`
`~ Application Service Provider Market- The ASP market is expected to reach $25 billion
`by 2003. In addition to industry size, this market (which spans most existing software
`segments) provides tremendous opportunities to those targeting SMEs due to 1) the
`current low level of automation by most small businesses, 2) the ability of ASPs to
`reduce upfront software costs, 3) the lack of in-house IT resources required to
`install/maintain software, and 4) the avoidance of additional infrastructure costs to
`support ASP applications. (Source: Baird -
`"ASP: Exploring the Theory of
`Evolution, September 2000.)
`
`While these markets overlap to an extent, management is confident that its market opportunities
`are significant.
`
`Direct Competition
`
`Management believes most other existing solutions (particularly in KM and CRM) are current
`large-scale
`complementary not directly competitive. Most seek to sell
`to customers'
`implementation plans for primarily server or web-based technologies only. Management believes
`Enfish is a natural complement to extend their existing products. For its direct competitors
`management is confident it has the Best of Breed solution for managing a user's personal work
`environment. (See Section 5 for description and comparison of its direct competition.)
`
`Growth and Marketing Strategies
`
`Management has identified detailed growth and marketing strategies for each of its major product
`lines. While management has identified a wide range of industries and customer targets, the
`company believes its can successfully enter each market through attractive co-branding or co(cid:173)
`market agreements. For its dedicated ASP solution the Company will implement a direct sales
`program. Evidencing the viability of this strategy and Enfish's product strength, the Company
`has already signed a key co-branding agreement with Franklin Covey to distribute its standalone
`client product. (See Section 6 for additional discussion regarding the Company's Growth and
`Marketing plans.)
`
`Franklin Covey- The Company has recently concluded a co-branded distribution agreement with
`Franklin Covey to begin offering a special co-branded edition of Enfish Onespace that integrates
`with the Franklin Covey planning system and web content, commencing March 2001. Through
`these agreements, Franklin Covey will directly market this solution through all its distribution
`channels including over 150 retail stores, direct mail catalogs reaching 10 million potential

`
`customers each year, web sites, extensive corporate training programs (training over 500,000
`people each year), and a direct sales force of over 150 professionals and 3000 trained consultants.
`
`Capital Request
`
`Enfish is seeking an equity infusions of approximately $15.0 million dollars which will provide
`the Company with the resources necessary to secure additional sales/distribution resources and
`partnerships, customize the products necessary for these partners and execute the planned design,
`development and expansion of the Enfish Platform and its family of products and services to
`quickly capitalize on our market opportunities. The market opportunities present in areas such as
`the Peer to Peer technology and the currently envisioned technology enhancements deliverable
`through these proposed products and services present Enfish with a tremendous opportunity to
`expand its market with a more rapid product development and deployment schedule. The ability
`to more rapidly expand our research, development and marketing efforts will also enable the
`Company to expand its partnering opportunities on an accelerated basis.

`
`History
`
`The Company was originally founded as "Dex" Information Systems, Inc. in late 1993 by Ms.
`Louise Wannier and three other individuals. Ms. Wannier, a successful, experienced entrepreneur
`was co-founder of Gemstar -TV Guide Interactive a NASDAQ company with a current market
`capitalization of over $20 billion. (See Section 7 - Management Team for additional information
`on Ms. Wannier's experience and prior accomplishments.)
`
`Enfish Technology, was originally founded with the goal of simplifying computer users'
`computing experience by providing software that would enable users to interact with their
`computers in a manner that more closely resembled the way they think and naturally process
`information, thus removing the boundaries that computers and their applications imposed. These
`concepts were the predecessor to what is now referred to as Personal Knowledge Management.
`
`Since identifying the concept, the Company has grown with a significantly refined, differentiated

`
`The User Platform
`
`Enfish has created a new information/knowledge management platform that presents users and
`partners with the flexibility to meet the diverse information and personal knowledge management
`needs of many potential user groups. Enfish's core competency is in its unique ability to
`automatically organize and provide its users with all the relevant information they need in
`one place. This is accomplished in a simple and customizable interface. The power underlying
`The Enfish User platform is in its patented "Dex" "engine". This technology creates a master,
`cross-referenced index of the contents of the user's email, documents and Internet information.
`The Enfish engine then uses this master index as a basis to understand what is relevant to a user
`and to provide them with appropriate relevant information from the sources available to them. In
`this manner Enfish personalizes the Internet for each user, automatically connecting relevant
`information and services from the Internet with the users' desktop information that is important to
`them.

`The User Desktop
`
`Enfish Onespace offers a substantially simpler way for people to use their computers to get
`everything that they want done, while at the same time making them smarter and more efficient.
`Enfish Onespace does this by bringing all their disparate information resources to their fingertips
`in one space---so they don't waste time finding it, and they don't miss anything important, even
`while they work offline. Enfish Onespace represents a significant step forward in smart
`computing, anticipating what information and services users need, and making it available
`without them having to do the work of organizing and locating it. By bringing access to all these
`disparate sources together within a single environment, organizing the information to suit
`individual needs, and automatically linking to relevant internet-based information and commerce;
`Enfish Onespace saves people time, simplifies access to information, and magnifies people's
`ability to harness the power of the information age. Enfish is the only orgmization that has been
`able to successfully provide their users with these capabilities.
`
`As an example, by clicking on any person or company, Enfish Onespace automatically assembles
`a page on your desktop that gives you contact information, relevant news headlines from the
`Internet, all the relevant emails, documents and web pages, related colleagues, appointment
`history, and more. This is accomplished without the user working to find them or spending time
`organizing them. By having everything in one place and in context, users are more informed and
`better prepared to perform tasks such as handling a phone call or preparing for a meeting.

`
`This page is just one example of the manner in which Enfish Onespace can provide its users with
`relevant, meaningful and personal information. The Enfish Onespace user platform is very
`flexible and provides for the simple customization of many aspects of the product, which enable
`the user to focus on the information that is most appropriate and valuable. As such, these pages,
`information "tabs" and data source feeds can be easily customized and integrated with disparate
`data sources to meet the needs of specific partners and or their customers and clients.
`
`One of the key benefits of this automatic, relevant organization is that it saves people time getting
`to the information they need, and they don't miss information that is important to them. As
`another example, many professionals receive several newsletters by email with information that is
`particular to their profession or industry (e.g. Venture Wire for all VCs). Usually, most people
`don't have time to read them every day, yet these often contain very useful information. With
`Enfish Onespace, just typing in the name of any company will not only bring up all emails,
`documents, book marked web pages that are relevant, but will also automatically bring forward
`the relevant section of any newsletters. Enfish automatically maintains in the background, an up(cid:173)
`to-date cross-referenced index of all the contents of a user's emails, documents, and referenced
`Internet sources.
`
`Enfish Onespace maximizes users' ability to work with diverse Internet resources in a broadband
`environment. Users can quickly set-up custom pages, like mini-"yahoos", or alternate home
`pages for their different projects that simultaneously track information on diverse web sites as
`well as keep track of the latest news and information that is relevant. For example, a company
`can easily keep track of its competition by using these pages.

`The combination of these components has resulted in Enfish offering the fastest and
`most comprehensive way to find, keep track of and automatically organize disparate
`information.
`
`The Enfish Server/Portal - - Enfish.com
`
`The Enfish Onespace intelligent client automatically filters information from the Enfish
`Server/Portal to ensure that the information being delivered or communicated is relevant for each
`user. Each user is completely private, and anonymous. The Enfish Server/Portal does not know
`the identity of any individual user; rather it has the ability to aggregate and segment information
`regarding groups of users. The uniqueness of this approach is that the "intelligence" present on
`the Enfish Onespace client ensures that only relevant information is presented to its users. Enfish
`Onespace's strategic advantage is based on the fact that our underlying, patented "Dex"
`technology is able to effectively mine and interpret the user's information, thereforeanticipating
`and bringing to the user's attention information that is "personally" important to them. (See
`Section 4 for additional discussion regarding Enfish Technology).
`
`The Enfish portal has three principal unique benefits:
`
`);>
`
`);>
`
`It acts to update users without their needing to install additional components. In this
`manner users can receive new versions and functionality in a seamless manner
`It presents additional information, content and services from Enfish partners to the Enfish
`client software (their users) which can be personalized as needed
