`over 75,000 user downloads and received numerous glowing product reviews from Fast
`Company, ZD NET, PC Magazine and others. In addition, the Company has recently concluded
`a co-branded distribution agreement with Franklin Covey to begin offering a special co-branded
`version of Enfish Onespace that integrates with the Franklin Covey planning system and web
`content, commencing March, 2001. Through these agreements, Franklin Covey will directly
`market this solution through all its distribution channels to the enterprise, small and medium(cid:173)
`sized businesses (SMEs) and individual business professionals. Franklin Covey is a public
`company with annual revenues exceeding $600 million derived from its 150 retail stores, direct
`mail catalogs reaching 10 million potential customers each year, web sites, extensive corporate
`training programs (training over 500,000 people each year), and a direct sales force of over 150
`professionals and 3000 trained consultants.

`Utilizing its core technology, n1anagement has also identified two other substantial markets:

`~ A valuable extension of existing Customer Relationship Management and Knowledge

`
`A study completed by the Giga Information Gronp entitled "A Total Economic Impact Analysis
`of Constant Computing" noted that "Knowledge and Information Management Agents such as
`those available from Enfish can easily increase user productivity by over $100 per month."
`Additionally, Intel Corporation, a strategic investor in the Company, engaged an independent
`consultant to conduct an internal pilot study using the initial release of Enfish Onespace as a
`personal knowledge management tool. The results of this study found that participants reported
`both time savings (10-30% overall) and improvements in the quality of their work (as high as
`30% overall). In time-trials, people using Enfish Onespace performed the same actions up to
`eight times faster than using existing Office tools. As information continues to explode,
`management believes Enfish stands as a critical technology tool to effectively manage data from
`disparate sources.

`To harness these technology benefits, management has identified three major products and
`marketing channels. (See Section 4 for additional discussion regarding each of these products.)

`Enfish Onespace User Platform- Enfish has been distributing its Onespace solution to
`individuals through free downloads. This software has already registered 75,000 free downloads.
`Free download distribution will cease on March 1, 2001, when the Company initiates a partnering
`strategy with select distributors to offer private label solutions to individual consumers. This
`solution will offer all the advantages of the Enfish user platform (See Section 3) and will be
`integrated with all client specific data sources. As an example, management is set to launch its
`first product through Franklin Covey in March 2001 and will integrate with Cbvey's personal
`management and leadership content. Franklin Covey will market the product through its
`dedicated sales representatives.

`A val11e added extension to existing CRMIKM solution - Management also utilized its core
`technology to license/partner with leading Corporate Portals/Knowledge Management and CRM
`companies and their Fortune 5000 clients. The advantage for these companies is that the rich
`Enfish client is a smart, more user-friendly front end for portals that integrates users' personal
`(desktop) information. Management has already been approached by leading CRM/KM
`companies to provide this solution both on an exclusive and non-exclusive basis. Benefits that
`attracted other users center on Enfish' ability to:

`customize the user platform to integrate with specific data sources and content and e-business
`services for different companies and needs of vertical segments of the market. These additional
`services provided by the ASP include:

`individual PC to be done at the company's server to significantly increase the

`~ Customer Relationship Management and Knowledge Management - The combined
`sizes of these markets is expected to reach almost $30 billion by 2004 according to IDC
`and Gartner.

`~ Application Service Provider Market- The ASP market is expected to reach $25 billion
`by 2003. In addition to industry size, this market (which spans most existing software
`segments) provides tremendous opportunities to those targeting SMEs due to 1) the
`current low level of automation by most small businesses, 2) the ability of ASPs to
`reduce upfront software costs, 3) the lack of in-house IT resources required to

`
`Management believes most other existing solutions (particularly in KM and CRM) are current

`implementation plans for primarily server or web-based technologies only. Management believes
`Enfish is a natural complement to extend their existing products. For its direct competitors
`management is confident it has the Best of Breed solution for managing a user's personal work

`Management has identified detailed growth and marketing strategies for each of its major product
`lines. While management has identified a wide range of industries and customer targets, the
`company believes its can successfully enter each market through attractive co-branding or co(cid:173)

`The Company was originally founded as "Dex" Information Systems, Inc. in late 1993 by Ms.
