`Richard A. Packer
`Chief Executive Officer
`Mr. Packer joined the Company in 1992 and became President of
`ZOLL in 1996, a position he held until Mr. Rennert's appointment.
`During 1996, he served as Chief Financial Officer of the Company and
`acted as interim Vice President of North American Sales. From 1992
`to 1995 he served as the Company's Vice President of Operations.
`Prior to 1992, he was Vice President of various functions at Whistler
`Corporation, a consumer electronics company. Mr. Packer holds an
`MBA from the Harvard Business School, as well as an engineering
`degree from Rensselaer Polytechnic Institute.
`
`Jonathan A. Rennert
`President, ZOLL Core Products
`Mr. Rennert joined the Company in June 2008. Prior to joining ZOLL,
`Mr. Rennert served as President and Chief Executive Officer of
`BioProcessors Corporation, a venture-financed life science tools
`developer. He previously held positions in general management,
`manufacturing and engineering with PerkinElmer, Inc. and United
`Technologies' Carrier Corporation. Earlier in his career, he was
`employed by General Electric and Anderson Consulting. Mr. Rennert
`holds master’s degrees in management and mechanical engineering
`from the Massachusetts Institute of Technology (MIT) and bachelor’s
`degrees in engineering, mechanical and aerospace engineering from
`Princeton University.
`
`Marshal W. Linder
`President and Chief Operating Officer, ZOLL LifeVest
`Mr. Linder joined ZOLL LifeVest® in 1997 as Vice President of
`Engineering and Operations for the LifeVest Wearable Defibrillator,
`and was named President and Chief Operating Officer in 2003. Earlier,
`from 1982 to 1997, he held a wide range of positions with IBM, with
`responsibilities including software and hardware development,
`industrial design, systems integration, and new business and alliance
`development. Mr. Linder holds master’s degrees and bachelor’s
`degrees in electrical and computer engineering as well as a bachelor’s
`degree in physics from Clarkson University.

`James Palazzolo
`President, ZOLL San Jose, Calif., Operations
`Since 2008, Mr. Palazzolo has been President of ZOLL’s California
`operations, which recently moved into a new facility ZOLL purchased
`in San Jose to accommodate subsidiary’s growth. Mr. Palazzolo is
`responsible for the general management of ZOLL’s therapeutic
`temperature management business as well as operations related to
`ZOLL’s AutoPulse® product. He previously held positions in sales and
`marketing, business development, and research and development at
`numerous medical device companies at all stages of development,
`including Radiant Medical and Revivant Corporation, which were
`acquired by ZOLL. He holds a bachelor’s degree in biomedical
`engineering from Case Western University.

`Alex N. Moghadam
`President, ZOLL Data Management Products
`Mr. Moghadam assumed leadership of the ZOLL Data Management
`team in July 2013 after serving eight years as Vice President of
`International Operations for ZOLL’s core resuscitation products.
`During this time, he more than doubled the company’s global
`presence and expanded the company’s reach into Japan, China, India,

`Eastern Europe and the Nordic region. Prior to joining ZOLL, from
`1995 to 2005, Mr. Moghadam held a variety of commercial and
`operational roles with Thermo Electron (now Thermo Fisher
`Scientific), which included eight years of overseas assignments in Asia
`and France. He holds an MBA from DePaul University, a master of
`international management degree from the American Graduate School
`of International Management (Thunderbird), and a bachelor’s degree
`in biology from Loyola University of Chicago.
`
`Aaron M. Grossman
`Vice President, General Counsel and Secretary
`Mr. Grossman joined the Company as Vice President, General Counsel
`and Secretary in October 2011. His His legal expertise includes
`managing all aspects of the legal function, including mergers and
`acquisitions, commercial contracts, employment, corporate
`governance, intellectual property, and litigation. Prior to ZOLL, he
`served in a similar capacity at LeMaitre Vascular, Inc., a publicly
`traded medical device company based in Burlington, Mass., with
`operations in 15 countries. Earlier, from 1999 to 2002, Mr. Grossman
`was a Corporate Attorney at Goulston & Storrs in Boston. He received
`a bachelor’s degree in political science from Vassar College, a master’s
`degree in law and diplomacy from the Fletcher School of Law and
`Diplomacy at Tufts University, and a juris doctorate degree from
`Harvard Law School.
`
`Ernest Whiton
`Senior Vice President, International Operations
`Mr. Whiton was named Senior Vice President, International Operations
`in July 2013 after having served ZOLL as Chief Financial Officer and
`Vice President of Administration for the past 15 years. During his
`tenure he has been instrumental in shaping the Company’s mission
`and strategy, which led to significant Company growth and revenue of
`over $500 million. Prior to joining ZOLL, Mr. Whiton was Vice
`President and Chief Accounting Officer of Ionics, Inc., a global
`separations technology company, which he joined in 1993. Earlier, he
`was a Manager at Price Waterhouse. Mr. Whiton holds an MBA from
`the Harvard Business School and a bachelor's degree in accounting
`from Bentley College.

`Steven K. Flora
`Senior Vice President and Vice President of North American
`Sales
`Mr. Flora joined ZOLL in 1998 as Vice President of North American
`Sales. Prior to ZOLL, Mr. Flora spent 16 years in various positions
`with Marquette Medical Systems, a manufacturer of cardiovascular
`and physiological monitoring systems. He last served as Vice
`President of Sales. Mr. Flora received his bachelor’s degree in biology
`from the University of Illinois.
`
`Ward M. Hamilton
`Senior Vice President
`Mr. Hamilton joined ZOLL in 1992 as Vice President of Marketing. He
`directed ZOLL’s worldwide marketing until 2012. He now serves as
`Senior Vice President and focuses on planning, strategy, industry
`cooperation, and the newly established ZOLL Foundation. Prior to
`ZOLL, Mr. Hamilton was employed by the City of Pasadena Fire
`Department, Datascope Corp., and Laerdal Medical. He has worked in
`the field of defibrillators, physiological monitors, and resuscitation
`devices and research for more than 40 years. Mr. Hamilton received
`his bachelor’s degree in political science from Hartwick College and
`holds a master's degree in public administration from the University of
`Southern California. He serves on the Citizen CPR Foundation Board
`of Directors and is active in the American Heart Association.
