`This is a reminder that Dave Brown and Jay Clark from ROY-G-BIV will be here on
`Thursday and Friday to discuss their proposal for the creation of an API/SPI layer in
`Windows for motion control. We have now signed a NDA with them which covers only
`details of the API/SPI layer they are proposing. The NDA has a period of effectivity
`which covers two years. Our expectation here is that whether we ultimately work with
`ROY-G-BIV and whether we decide to go the way of an API/SPI layer, we would not
`introduce anything to the market before 1996. Thus we are not really cornpromisinq
`term freedom.

`They have proposed the following format for our meeting. Dave has prepared a 25
`page detailed document describing their approach. He would like to discuss the general
`overview on Thursday and he would like to discuss the technical details on Friday. He
`will send a copy of the document to us to review Wednesday before the meeting. Since
`I have not seen this material yet, I do not know if we will need the full two days to
`discuss it. Dave felt like we did.
`
`We have purposely left out of the NDA reference to application programs that might be
`developed on the API layer. We did not want any ambiguous confidentiality issues to
`cloud our continued development of Motion Architect. Nevertheless, I think we can be
`relatively open about our ideas for applications. If you have any questions about this
`memo or have some schedule conflicts we have to work around, please let me know.
