`November 4, 2015, San Diego, CA — Ameranth, Inc. announced today that it has entered into a
`patent license agreement with Jersey Mike’s Franchise Systems, Inc. , of Manasquan, NJ ,
`(www.jerseymikes.com), a fast-casual sub sandwich franchise with more than 1,500 locations open
`and under development nation-wide. The Ameranth patent license includes mobile ordering, mobile
`frequency/rewards, delivery, mobile payments and other elements/fields critical to mobile/web
`deployments in the hospitality space.
`
`Ameranth's direct 'data synchronization' licenses now number 42 (with dozens of 'sub-licensees'), -
`(representing/including more than 25 nationally recognized, large restaurant chains, totaling more
`than 50,000 deployed locations, which are in various stages of roll-out). In addition to its new patent
`license with Jersey Mike’s, Ameranth has patent license agreements with Taco Bell, BJ’s
`Restaurants, Tilster Inc, Xpient Solutions Inc, EMN8, ORDIT, Cognizant Inc., Monkeymedia,
`Splickit, Radiant, Red-Fork, Menusoft, Nu-Order, Tap to Eat, Restaurant Revolution Technologies,
`Netwaiter, Brink Software, Savory Mobile, Skywire Media, Chownow, Compelcart, Xpient,
`Munchaway, OrderBee LLC, Meplus1 LLC, Ticketmob/Laughstub, Par, Subtledata, Comcash,
`Snapfinger, My Check LLC, Fork LLC, Circleshout as well as others and is in active negotiations to
`provide licenses to several additional hospitality industry product/service providers.

`Ameranth’s pioneering web/wireless data synchronization inventions have been patented (U.S.
`Patent Nos. 6,384,850; 6,871,325; 6,982,733, 8,146,077, 9,009,060 - with two additional patents
`pending), have been widely adopted and deployed, and are now essential to the modern wireless/web
`hospitality enterprise.. Numerous additional patent claims are also pending and/or under further
`review. The explosive growth of the use of smart phones, social/affinity group networking, cloud-

`Amendment No. 5
`Distribution and License Agreement
`
`This amendment Number Five ("Amendment") to that certain Distribution and License
`Agreement dated April 4, 2001 (the "Agreement"), by and between Ameranth, Inc., a Delaware
`corporation ("Ameranth"), and Agilysys NV, LLC (fka InfoGenesis, a California corporation)
`("InfoGenesis"), amends the Agreement as set forth herein.
`
`1. Section 10.1 of the Agreement is hereby deleted in its entirety and replaced with the
`following: Term. "This Agreement begins on the Effective Date and, unless terminated
`as provided in Section 10.2, will continue through March 31, 2009 ("The Initial Term").
`Without limiting Section 10.2, after the Initial Term, this Agreement will remain in-effect
`until (a) Ameranth gives prior written notice of termination no less than one hundred and
`twenty (120) days before the effective date of termination or (b) InfoGenesis gives prior
`written notice of termination no less than thirty (30) days before the effective date of
`termination. The fixed Enterprise License Fee of $85,000 for each successive year is
`due to Ameranth by the end of the current term.
`
`2. Amended Enterprise License Grant. Section 4.3.2 of the Agreement is amended as
`follows: InfoGenesis is hereby granted a nonexclusive, nontransferable, worldwide
`license to deploy and distribute the 21CR Software (including rights to Ameranth's
`patents 6,384,850; 6,871,325; 6,982,733 and all continuations, and any other
`Ameranth patents that may become relevant during the term of this Agreement)
`to a maximum of 425 (four hundred and twenty five) license to End Users during the
`term of this Agreement, without any additional Per Handheld Computer License Fee due
`Ameranth as described in Addendum B of the Agreement. In consideration for this
`amended License grant, InfoGenesis will pay to Ameranth an Enterprise License Fee of
`$85,000, which includes maintenance and upgrades on currently deployed Ameranth
`handheld software, as well as a limited use of 425 (four hundred and twenty five)
`licenses per year defined. Additional handheld license fees beyond 425 (four hundred
`and twenty five)licenses (if any), during each annual period will be at $200.00 per
`handheld; however unused handheld licenses during an annual period can be carried
`forward into successive years and are additive to the 425 licenses- available at no
`additional cost during that annual period. The count is reset every April 1st to zero, then
`adds 425 licenses to the unused amount of 425 licenses from the previous year/term, if
`any. The annual limited Enterprise License Fee is fixed at $85,000 and is non-
`refundable, except for when there is a termination for cause.
`
`3. Payment Terms. Payment of the Enterprise License Fee for the Initial Term must be
`received by Ameranth by April 30, 2008.
`
`4. Customization Services and Maintenance Services: Ameranth agrees to provide
`Customization Services as described in Section 2.2 of the Agreement; and the Fee for
`these services, as described in Section 1.2.h.ii of the Agreement, is fixed at $115/hour or
`on a fixed price task basis - as to be mutually agreed to by the parties. Additionally,
`Ameranth agrees to provide the Maintenance Services as described in Addendum D of
`the Agreement, for which Ameranth waives any obligation of InfoGenesis to pay any
`future Annual Maintenance Service Fees as listed in Addendum B of the Agreement,
`and in lieu of which Infogenesis agrees to pay to Ameranth on invoice the $115/hour fee
`

`for approved Maintenance Services provided. This provision shall survive for three
`years any expiration or termination of the Agreement.
`
`5. InfoGenesis will notify Ameranth in writing at the end of each quarter with respect to any
`significant handheld customer deployments in the previous quarter and shall provide
`Ameranth a summary report at the end of each annual period reflecting the total
`handheld licenses deployed.
`
`6. Notices. The address for notices, communications and demands to Agilysys NV,LLC
`shall be InfoGenesis,11545 Wills Road, Suite 100, Alpharetta, Georgia 30004.
`
`7. Addendum B "Fees" is DELETED in its entirety.
`
`8. In the Addendum D "Annual Maintenance Services", in section called "Description of
`Services", under "Payment; Annual Service Fee", the first sentence is deleted and
`replaced by the following " Annual fixed Enterprise License Fee shall include the license
`and its maintenance and upgrades on currently deployed Ameranth handheld software,.
`
`Authorized representatives of Ameranth and InfoGenesis have read the foregoing and agree
`and accept such terms effective as of March 31, 2008.
