` MR. GOLDBERG: Good morning, Your Honor.
` This is Joshua Goldberg, for Patent Owner.
`With me, I have my colleague, Cory Bell and, also,
`Adam Faier, from our client, Trading Technologies.
` JUDGE PETRAVICK: For Petitioner?
` MR. KRAMER: This is Bill Kramer, on
`behalf of CQG.
` JUDGE PETRAVICK: Is there anybody else on

` MR. GOLDBERG: We do have a court

` MR. GOLDBERG: Yes. So as recognized by

`this Board's presidential decision and secured by the
`Cardinal Commerce, 35 USC, 325(a)(1) applies to CBM
`proceedings. And that statute thus prohibits
`institution of a CBM if a petitioner or a real party
`in interest filed a civil action challenging the
`validity of the claim of a patent. CQGT filed such
`an action, challenging the '132 and '304 patents at
`issue in these proceedings, so Patent Owner requests
`authorization to file a motion to dismiss the
`proceedings, in order to avoid unnecessarily wasting
`resources and preparing full-blown preliminary
`responses addressing the substance of CQG's
`petitions.
` As set forth in its petition, CQG's
`position is that its earlier declaratory judgment
`challenging the '132 and '304 patents does not bar
`institution of these proceedings because it was
`dismissed without prejudice. We disagree. Although
`the board has recognized that actions dismissed
`without prejudice are excepted from the prohibition
`of USC 325(a)(1) in certain circumstances, CQG's
`declaratory judgment action is not excepted because

`its dismissal did not make it as though the
`declaratory judgment action never existed.
` Rather, as explained in further detail in
`the mandatory notices that we filed on January 16th,
`2015 -- this is paper six in both proceedings, the
`declaratory judgment action was effectively
`consolidated into another action in the Northern
`District of Illinois, and that action is actually in
`trial in Chicago as we speak.
` Accordingly, the claim set forth in the
`declaratory judgment action continued and it did not
`cease to exist, and similar circumstances were
`addressed in the Apple v. Rensselaer Polytechnic
`Institute case that's IPR2014-00319, paper 12. And
`this board found that the complaint in that case
`could not be treated as if it never existed. The
`board should find the same way here and dismiss these
`CBM's.
` So, again, that's why we requested this
`call and we are requesting permission to file motions
`to dismiss the proceedings.
` JUDGE PETRAVICK: All right. We'll hear

` MR. KRAMER: This is Bill Kramer, again,
`on behalf of CQG.
` And as TT recognizes, courts have found
`that if a case is dismissed without prejudice, it
`exists as if it was never filed. In that case, it's
`as if CQG never filed a declaratory judgment and
`they're not barred from filing this petition. In the
`case of Apple, it was specifically consolidated and,
`in this case, CQG's case in Colorado was specifically
`dismissed, and to say it was effectively consolidated
`doesn't really mirror the facts.
` As an example, the petition -- or the suit
`filed in Colorado does not mirror the defenses that
`were raised in the case in Chicago. In effect, if
`there was a consolidation or merger, then those
`claims would be identical, and that's not the case
`here.
` Further, the plain language of the Order
`of the court says it was dismissed and, as opposed to
`the case in Apple, where the cases were consolidated.
`Therefore, CQG feels it has every right to continue

`with these CBM's, similar to the many other opinions
`where preliminary -- where declaratory judgment
`actions were dismissed without prejudice.
` JUDGE PETRAVICK: Okay.
` MR. GOLDBERG: Your Honor, can I speak to
`that just for one moment?
` JUDGE PETRAVICK: Yes.
` MR. GOLDBERG: So, first, I just want to
`note that CQG had actually proposed to consolidate
`the transferred Colorado declaratory judgment action
`with the Illinois infringement action by dismissing
`the transferred Colorado declaratory judgment action
`without prejudice and providing CQG with leave to
`file an amended answer in the Illinois infringement
`action, and that's exactly what the Illinois court
`ended up doing. So that's why we say that
`effectively this was just a consolidation.
` And beyond that, this -- to the extent
`that CQG is now taking a position that there were
`different defenses existing in the Illinois action,
`that's just because there were -- there were other
`things going on there. That doesn't mean that this,

`that all the stuff in the original proceeding didn't
`end up flowing over to, as we said, effectively be a
`consolidation.
` JUDGE PETRAVICK: Okay. So --
` MR. KRAMER: May I speak in response,
`briefly?
` JUDGE PETRAVICK: Well, I have two
`questions, first.
` MR. KRAMER: Okay.
` JUDGE PETRAVICK: Patent Owner, why do you
`need a separate paper or motion to address this
`issue? Why can't you address this issue in your
`preliminary responses?
` MR. GOLDBERG: Well, of course, Your
`Honor, we could address it in our preliminary
`response. We would like to do the separate paper
`earlier on, like this, because as Your Honor's aware,
`we're already currently involved in many other
`proceedings involving these patents with TD
`Ameritrade and, you know, we've been spending tons of
`resources on those. And to the extent that it's
`possible to cut these off earlier on this one simple

`issue, we would like to do that, just to avoid having
`to invest huge sums of money to, in our preliminary
`response, not only address this issue, but also
`address the substance of the argument set forth
`regarding Section 101 and 112, arguments that I'll
`note are currently in dispute in the trial in
`Chicago.
` JUDGE PETRAVICK: Well, your preliminary
`response is due at any time now up till May 6th. Why
`can't you just file it, file it early, if that's your
`concern?
` MR. GOLDBERG: Well, again, I mean, our
`concern would just be that if -- if we file a
`full-blown preliminary response, we're going to not
`only address this particular issue about the
`propriety of the filing of the CBM's in the first
`place, but we will also be addressing many other
`issues directed to the substance of the 101 and 112
`arguments. And, for that reason, it would be much
`more expensive for us to file a full-blown
`preliminary response.
` JUDGE PETRAVICK: Okay. My last question

`But the parties in the court proceeding agreed to the
`dismissal without prejudice, is that correct? Is
`that fact correct?
` MR. GOLDBERG: To my understanding, that
`is -- that is correct. And the agreement was based
`on the parties' understanding that the whole point of
`doing this was to, in effect, consolidate the
`transferred -- the Colorado action into the Illinois
`action.
` JUDGE PETRAVICK: Okay. Petitioner, you
`have one more minute to say whatever you would like
`to say.
` MR. KRAMER: Sure. I was just going
`address that, you know, there was a proposal given to
`Judge Moran to sign an order. Judge Moran didn't
`sign it. He drafted his own that said the cases are
`dismissed, and, you know, that is what has been
`entered in the record. And, you know, the proposal
`that was mentioned by TT was not approved and wasn't
`signed by the court. They issued their own, which
`said the case is dismissed without prejudice.
