`Maxim Integrated Products, Inc. (“Maxim”), and JPMorgan Chase & Co., JPMorgan

`Chase Bank, N.A. (“Chase”), pursuant to Rule 41(A)(2) of the Federal Rules of Civil Procedure,

`hereby stipulate and move for an order dismissing WITH PREJUDICE and in their entirety (1)

`all claims and counterclaims brought by Maxim against Chase and (2) all claims or

`In consideration of the parties’ Stipulated Motion for Dismissal of all claims with
`
`prejudice and all counterclaims as moot asserted between Maxim Integrated Products, Inc. and
`
`JPMorgan Chase & Co., JPMorgan Chase Bank, N.A., the Stipulated Motion for Dismissal is
`
`GRANTED, and it is ORDERED, ADJUDGED AND DECREED that all claims asserted in this
`
`suit between Maxim and defendants JPMorgan Chase Bank, NA and JPMorgan Chase & Co. are
`
`hereby dismissed with prejudice and all counterclaims are dismissed as moot.
`

`It is further ORDERED that all attorneys’ fees and costs are to be borne by the party that
`
`incurred them.
