`The undersigned counsel respectfully request, on consent, (i) the substitution of

`counsel for Plaintiifs in the above entitled action as set forth in paragraph 3, below, and (ii) that

`this Court So Order this Stipulation And Consent Order Of Substitution Of Counsel For

`Plaintiffs.

`The reason for these requests is that lead trial counsel for Plaintiffs, as well as

`other attorneys of record representing Plaintiffs in this action, are no longer members of or
`
`associated with the outgoing firm and are now members of or associated with the incoming firm.

`In light of the fact that the attorneys representing Plaintiffs will largely remain the same, albeit
`
`now at a different law firm, the undersigned do not believe that the proposed substitution will
`
`cause any undue delay or in any way prejudice any party in this action.
