`Plaintiff, Allegiant Travel Company (“Allegiant”), moves under Local Rule IA 10-5 and
`
`Rule 5.2 of the Federal Rules of Civil Procedure for leave to conditionally file Allegiant’s Points
`and Authorities in Opposition to Defendant, R2 Solution LLC’s (“R2”), Motion to Dismiss
`(“Opposition”) and the Declaration of Laura Overton (“Overton’s Declaration”), Exhibit A to the
`Opposition, under seal, pending any further filings from R2 the Court requires to establish
`grounds for sealing. Allegiant’s position is that nothing in its Opposition or the Declaration
`should be sealed. In support of its Motion, Allegiant relies on the following memorandum of
`points and authorities as required by Local Rule 7-2(a).
`MEMORANDUM OF POINTS AND AUTHORITIES
`“[A] party seeking to seal a judicial record then bears the burden of overcoming this
`
`strong presumption by meeting the compelling reasons standard.” Kamakana v. City & County of
`Honolulu, 447 F.3d 1172, 1178 (9th Cir. 2006). “The court must then conscientiously balance[ ]
`the competing interests of the public and the party who seeks to keep certain judicial records
`secret.” Center for Auto Safety v. Chrysler Grp., LLC, 809 F.3d 1092, 1097 (9th Cir. 2016)
`(alteration in original) (citation and internal quotations omitted). “What constitutes a ‘compelling
`reason’ is ‘best left to the sound discretion of the trial court.’” Id. (quoting Nixon v. Warner
`Commnc’ns, Inc., 435 U.S. 589, 599 (1978)).
`
`Contemporaneously with its Motion to Dismiss [ECF No. 26], R2 filed a Motion to Seal
`[ECF No. 27] portions of its Motion to Dismiss. In its Motion to Seal, R2 asserts that the
`identified portions “contain information and communications that are subject to a confidentiality
`agreement between the [P]arties.” And as such, R2 claims that the Parties are under an obligation
`of “non-disclosure.” Although Allegiant strongly disagrees with R2’s contentions, and it does not
`believe any portion of the Motion to Dismiss or its corresponding exhibits are subject to the
`Parties’ non-disclosure agreement, it has reason to believe R2 will likely claim Allegiant’s
`Opposition and Overton’s Declaration contains confidential information. Should the Court
`require, R2 will need to identify the specific portions of the Opposition and Overton’s Declaration

`For the foregoing reasons, Allegiant respectfully requests that this Court order Allegiant’s
`Opposition and Overton’s Declaration to be filed under seal, pending submission of any further
`filings by R2 to establish grounds for sealing.
