`FILE FOURTH AMENDED COMPLAINT

`Pursuant to Fed. R. Civ. P. 15(a)(2), and timely on the Court’s deadline to move for leave
`
`to amend the pleadings (D.I. 161, ¶ 7), Plaintiff Impossible Foods Inc. (“Impossible”) respectfully
`
`moves for leave to file a Fourth Amended Complaint. Through the proposed amendment,
`
`Impossible would add a claim for trade secret misappropriation under the Defend Trade Secrets
`
`Act, 18 U.S.C. § 1836 et seq. against Defendant Motif FoodWorks, Inc. (“Motif”). The grounds
`
`for this motion are set forth in Impossible’s Opening Brief and supporting papers filed herewith.
`
`The parties have met and conferred and Defendants oppose this motion for leave to file the
`
`Fourth Amended Complaint. Impossible proposes that it file its Fourth Amended Complaint
`
`within seven (7) days of an order of the Court authorizing its filing and Defendants file an answer
`
`within fourteen (14) days thereafter in accordance with Fed. R. Civ. P. 15.
`
`Pursuant to D. Del. LR 15.1, attached hereto is a copy of Impossible’s proposed Fourth
`
`Amended Complaint (Exhibit A) and a redline comparison between Impossible’s proposed Fourth
`
`Amended Complaint and the Third Amended Complaint (D.I. 129) (Exhibit B). A proposed order,
`
`with signature, is also attached (Exhibit C).
`

`Pursuant to Rule 7.1.1 of the Local Rules of the United States District Court for the District
`
`of Delaware, Plaintiff Impossible Foods Inc. made reasonable efforts, including oral communication
`
`with Delaware counsel, to reach agreement with opposing counsel regarding Impossible’s Motion for
`
`Leave to File a Fourth Amended Complaint. Defendants Motif FoodWorks, Inc., and Ginkgo
`
`BioWorks, Inc., have stated they oppose this Motion.
