`States District Court for the Northern District of California, in the Ronald V. Dellums Federal

`California 94612, Defendant AGIS Software Development LLC (“AGIS Software”) will and

`hereby does move the Court, for an order dismissing the Second Amended Complaint (“SAC”)
`
`filed by Plaintiff ZTE (USA) Inc. (“ZTE” or “Plaintiff”) pursuant to Rule 12(b)(2) of the
`
`Federal Rules of Civil Procedure without leave to amend.
`
`This Motion is made on the grounds that the Court lacks personal jurisdiction over AGIS
`
`Software. The parties have agreed that ZTE will not oppose this Motion.

`STATEMENT OF ISSUES TO BE DECIDED
`1. Whether this Court lacks personal jurisdiction over AGIS Software in the instant
`
`declaratory judgment action.
`
`
`MEMORANDUM OF POINTS AND AUTHORITIES
`ZTE’s Second Amended Complaint, which seeks a determination that ZTE did not infringe
`
`several of AGIS Software’s patents, must be dismissed for lack of personal jurisdiction over AGIS
`
`Software.
`
`
`
`The parties have agreed that ZTE will not oppose this Motion, that all claims for relief and
`
`causes of action asserted by the parties should be dismissed with prejudice, and that all attorneys’
`
`fees, expenses, and costs incurred to date to be borne by the party that incurred them.
`
`
`
`For the reasons described herein, the Court should dismiss ZTE’s Second Amended
`
`Complaint for lack of personal jurisdiction.
