`I, Paul E. Torchia, hereby declare and state:
`
`I am Partner at the law firm of Gibson, Dunn & Crutcher LLP, attorneys
`for Defendant Infor, Inc. (“Infor”) in the above titled action. I am a member in good
`standing of the bar of the State of New York and am admitted to practice before this
`Court pro hac vice. I make this declaration on my own knowledge.
`
`On Thursday, September 5, 2019, I sent counsel for Uniloc 2017 LLC
`(“Uniloc”) a letter regarding Uniloc’s inability to make a plausible allegation of
`infringement in the complaint. I explained how the complaint not only failed to allege
`that Infor uses certain required technologies of the patents, but in some instances
`affirmatively demonstrates non-infringement. Accordingly, I explained that Infor did
`not believe these pleading deficiencies could be cured by amendment. I requested that
`Uniloc either dismiss the complaint or write back with Uniloc’s position and a time to
`meet and confer, and informed Uniloc that Infor intended to file this motion. Attached
`as Exhibit 1 is a true and correct copy of this letter.
`
`On Tuesday, September 10, 2019, I followed up via email with Aaron S
`Jacobs (counsel for Uniloc) to again request a time for the parties to meet and confer.
`Mr. Jacobs and I conferred over the telephone on September 11, 2019. I asked Mr.
`Jacobs to dismiss the complaint or, failing that, asked him to explain how the
`deficiencies I identified in my letter could be cured by amendment. He did neither, but
`instead stated that Uniloc believed that the complaint was adequate at this time, and
`that Uniloc would need further discovery to provide more detail. He said that Uniloc
`would oppose Infor’s motion. We agreed that the parties were at an impasse and
`concluded the call. Attached as Exhibit 2 is a true and correct copy my email
`correspondence with Mr. Jacobs.
